Succession strategy - legal aspects of transfer of ownership in family businesses

Abstract:

Prosperující rodinný podnik se postupem času dostane do fáze, ve které se jeho majitelé, nezřídka zároveň zakladatelé, rozhodnou utlumovat své pracovní nasazení a delegovat další vedení na vhodné nástupce. Nemalá část z nich zvažuje i prodej podniku či alespoň vlastnického podílu, nebo změnu stávající organizační struktury do holdingového uspořádání. V každém případě je nutno firmu i zaměstnance na tuto změnu připravit, provést ocenění podniku. Změna ve vedení podniku je zároveň příležitostí pro nová nastavení nejen v otázkách personálních, ale také v oblastech řídících procesů, marketingu a dalších podnikových aktivit. Jde ale také o rizikový krok, který může ohrozit konkurenceschopnost firmy. Práce přináší přehled oblastí, se kterými je třeba se vypořádat v rámci přípravy koncepce předání řízení, předání vlastnictví, řízení konfliktů a rizik, která mohou v průběhu tohoto projektu nastat.

Abstract:

Abstract Sooner or later, a family business reaches a stage when its owners, often the founders at the same time, decide to reduce their work commitment and delegate further management to suitable successors. A significant number of them are also considering the sale of the company or at least an ownership stake, or changing the existing organizational structure to a holding arrangement. In any case, it is necessary to prepare the company and the employees for this change, to carry out a valuation of the company. A change in company management is also an opportunity for new settings not only in personnel matters, but also in the areas of management processes, marketing and other business activities. But it is also a risky step that can threaten the competitiveness of the company. The work provides an overview of the areas that need to be dealt with in the preparation of the concept of transfer of management, transfer of ownership, management of conflicts and risks that may arise during this project.
