Advantages and Disadvantages of Incorporation of a Company in a Member State Different from a Member State of Real Economic Activity

Abstract:

Tato práce se zabývá problematikou svobody usazování z pohledu vymezení konkrétních výhod a nevýhod v souvislosti s inkorporací obchodní společnosti v jiném členském státě než státě skutečného podnikání. Jejich celkový výčet je vytvořen jak z analýzy jednotlivých rozhodnutí Soudního dvora EU, tak také na základě hodnocení právních předpisů Evropské unie. Pro úplnost se tato práce věnuje rovněž obecnému vymezení institutu svobody usazování a také popisu inkorporačního principu ve srovnání s principem sídla.

Abstract:

This work deals with the right of establishment in terms of defining the specific advantages and disadvantages in relation to the incorporation of the company in a Member State other than the real business is exercised. The overall list is then created as the basis of analysis of the decision of the Court of Justice of the EU, as well as on the evaluation of European Union legislation. For completeness, this work also discusses on the one hand the general definition of the right of establishment and also compares the incorporation doctrine with the real-seat doctrine.
