Compensation for Damage Under Commercial Code

Abstract:

Tato bakalářská práce se zabývá pohledem na právní úpravu náhrady škody podle obchodního zákoníku, jejíž výklad je díky subsidiaritě občanského zákoníku a nedostatečné právní úpravě mnohdy nejasný. První část se věnuje vymezení obecné odpovědnosti a jejích předpokladů, kde jsou definovány právní instituty jako porušení právní povinnosti, vznik škody, příčinná souvislost mezi porušením povinnosti a vznikem škody a předvídatelnost vzniku škody. Druhá část se věnuje principu prevence a zaměřuje se na oznamovací povinnost. Ve třetí části je práce zaměřena na možnosti smluvní limitace náhrady škody před a po nabytí účinnosti novely zákona 351/2011 Sb., hodnotí její formulace a klade otázky, které se v právní obci i na veřejnosti stále objevují. Nedílnou součástí je hodnocení možnosti smluvní limitace v zahraničí. Práce je uzavřena čtvrtou, poslední částí, jež se zabývá promlčecími lhůtami. Celou prací se prolíná i relevantní judikatura, která pomáhá dotvářet rámec tohoto tématu.

Abstract:

This bachelor thesis deals with the view of legislation of compensation under the Commercial Code, whose interpretation is due to subsidiarity of Civil Code and inadequate legislation often unclear. The first part concentrates on definition of general liability and its assumptions where legal institutions are defined. Such as breach of legal obligation, origin of damage, causal link between the breach of obligation and the origin of damage and predictability of the origin of damage. The second part is devoted to the principle of prevention and focuses on reporting obligation. In the third part the thesis is focused on the possibility of a contractual limitation of compensation for damage before and after the amendment to the law 351/2011 Sb. entry into force, rates its formulation and asks questions that are in the legal community and in the public still frequently asking. An integral part is the evaluation of the possibility of contractual limitations abroad. Thesis is concluded by the fourth part, the last one, which deals with limitation periods. The whole thesis is intertwined by the relevant case law which helps to shape the scope of this topic.
