Diplomová práce se zaměřuje na odpovědnostní instituty práva obchodních korporací, jejichž uplatnění je spojeno s úpadkem obchodní korporace. Jedná se o instituty vydání prospěchu získaného v souvislosti s výkonem funkce člena orgánu obchodní korporace, sankčního ručení a vyloučení člena orgánu z výkonu funkce (diskvalifikace). This master’s thesis focuses on liability of the members of a business corporation’s bodies for the bankruptcy of the corporation. The thesis particularly deals with obligation of those members to return the consideration received from the business corporation, their liability for the fulfilment of business corporation’s obligations and their expulsion from an office (disqualification).
