Execution by sale of the enterprise - a comparative view

Abstract:

Tato disertační práce je komplexní analýzou provedení exekuce postižením závodu v České republice. V rámci metodologického přístupu k práci byla pro analýzu stávají právní úpravy exekuce postižením závodu v České republice, která sloužila jako nosná část práce, zvolena kompilace, pro zbylou část pak komparace, neboť tyto metody v sociálních vědách nejvíce prospívají systematičnosti a strukturovanosti textu. Samotná práce se dělila do několika částí, kdy po úvodní části následovala část věnující se obecným předpokladům pro výkon exekuční činnosti, jako je postavení exekutora v právním systému, jeho práva a povinnosti. V této první části práce byl rovněž stručně nastíněn vývoj právní úpravy exekuce postižením závodu od roku 2001. První část práce dále obsahovala nástin průběhu exekučního řízení od podání exekučního návrhu do zániku pověření soudního exekutora, včetně procení obrany povinného, jakou je návrh na odklad či zastavení exekuce. Druhá teoretická část práce se věnovala již samotnému průběhu exekuce postižením závodu podle aktuálně účinné právní úpravy v České republice, kdy kompilační metodou byly detailně analyzovány veškeré fáze exekuce postižením závodu od zahájení řízení, přes rozhodnutí o závodu, stanovení ceny závodu, dražbu závodu až po rozvrh rozdělované podstaty. Součástí této části byla rovněž kapitola věnující se nákladům exekuce a dále analýza specifických situací, které mohou v průběhu exekuce postižením závodu nastat, jako je např. střet exekučního řízení a insolvence. Třetí část se prostřednictvím komparativní metody věnovala srovnání exekuce postižením závodu s výkonem rozhodnutí postižením závodu, srovnání exekuce postižením závodu s exekucí prodejem podniku podle právní úpravy účinné do 31.12.2012, srovnání české, polské, rakouské a anglické právní úpravy exekuce postižením závodu a nakonec srovnání exekuce prodejem závodu a exekuce správou závodu. Ve čtvrté části byly analyzovány výsledky komparace s předchozí částí práce a navržen možný budoucí vývoj způsobu provedení exekuce postižením závodu. Jako obecný cíl práce byla stanovena snaha o definici efektivnějšího a právně konformnějšího způsobu provedení exekuce postižením závodu v rámci zmíněných komparací a navržení budoucího možného vývoje právní úpravy pro způsob provedení exekuce postižením závodu.

Abstract:

This dissertation is a comprehensive analysis of the implementation of foreclosure proceedings due to the impairment of the enterprise in the Czech Republic. Within the framework of the methodological approach to the work, a compilation was chosen for the analysis of the legal regulations of the enforcement of enterprise foreclosure in the Czech Republic, which served as the supporting part of the thesis, and for the remaining part, a comparison, as these methods in the social sciences are most beneficial to the systematicity and structure of the text. The thesis itself was divided into several parts, where the introductory part was followed by a part devoted to the general prerequisites for foreclosure activity, such as the position of the bailiff in the legal system, his rights, and obligations. This first part of the thesis also briefly outlines the development of the legal regulation of foreclosure proceedings due to enterprise impairment since 2001. The first part of the thesis also contains an outline of the course of foreclosure proceedings from the submission of the foreclosure proposal, to the termination of the bailiff's mandate, including an assessment of the debtor's defence, such as a proposal for postponement or suspension of said foreclosure proceedings. The second, theoretical, part of the work was devoted to the process of foreclosure due to the impairment of the enterprise according to the currently effective legislation in the Czech Republic, where all phases of the foreclosure due to the impairment of the enterprise were analysed in detail, using the compilation method, from the initiation of proceedings, through the decision on the enterprise, determination of the value of the enterprise, the auction of the enterprise itself, to the schedule of the division of assets. This part also included a chapter devoted to the costs of foreclosure proceedings, and further, an analysis of specific situations that may arise during said foreclosure proceedings affecting the enterprise, such as, for example, the clash of interest occurring between foreclosure proceedings and insolvency. The third part, by means of a comparative method, was devoted to the comparison of foreclosure proceedings affecting the enterprise with the execution of the foreclosure decision affecting the enterprise, a comparison of foreclosure affecting the enterprise with execution by sale of the enterprise according to the legislation effective up to 31.12.2012, a comparison of the Czech, Polish, Austrian, and English legislation on foreclosure proceedings affecting the enterprise, and finally a comparison of foreclosure proceedings via the sale of the enterprise and foreclosure proceedings by the administration of the enterprise. In the fourth part, the results of the comparison with the previous part of the thesis were analysed, and a possible future development of the method of executing the foreclosure proceedings due to enterprise impairment was proposed. The general goal of the work was to define a more effective and legally compliant method of foreclosure and its effect on the enterprise within the framework of the aforementioned comparisons, and to propose the future possible development of legislation for the method of foreclosure proceedings affecting the enterprise.
