Abstract:

Tématem bakalářské práce je rozbor druhů akcií, které mohou společnosti vydávat dle nového občanského zákoníku a zákona o obchodních korporacích. Nejprve práce seznamuje s historií pojmu akcie. Druhá část vymezuje předchozí a novou právní úpravu druhů akcií. Další část představuje akcii jako cenný papír. V hlavní kapitole je provedena komparace právních úprav druhů akcií - kmenových, prioritních a úrokových. Samostatná část je věnována zvláštním právům nově inkorporovaným do akcií a jejich možnému přezkumu v případě pochybností. Změna druhu akcií společností je popsána v samostatné podkapitole této práce. Zvláštní pozornost je věnována i nové kategorii kusových akcií. V závěru bude provedeno zhodnocení získaných poznatků.

Abstract:

The theme of the bachelor thesis is to analyze the type of shares that companies can issue under the new Civil Code and the Business Corporations Act. First, the work introduces with the history of the concept of shares. The second part defines the previous and new legislation of types of shares. The next part introduces the share as a security. In the main chapter there is performed the comparation of legislation of types of shares ordinary shares, preference shares and interest shares. A separate section is devoted to the special rights of the newly incorporated on shares and their possible revision of the doubt. Changing the type of companies is described in a separate subsection of this work. Special attention is paid to the new category of individual shares. At the end of the work there will be performed an assessment of the knowledge learned.
