Legal Regulation of Foreigners' Entrepreneurship in the Czech Republic

Abstract:

Tato diplomová práce se věnuje tématu podnikání cizinců na území České republiky. Práce je strukturována do tří hlavních kapitol. V první kapitole jsou vymezeny vybrané pojmy, a to cizinecké právo, občan a státní občanství České republiky, cizinec a zahraniční osoba, podnikání, jednotný trh Evropské unie a občan EU. Druhá kapitola se věnuje historickému vývoji. Konkrétně je popsán vývoj mezinárodního práva soukromého, institutu cizince a cizineckého zákona. Do této části je také zařazen nástin vhodného vývoje cizineckého zákona do budoucna. Třetí a poslední kapitola pojednává o samotném podnikání cizinců v České republice. Popsány jsou typy pobytu cizinců a z nich plynoucí podmínky a dále podmínky obsažené v právních předpisech upravujících jednotlivé typy podnikání, jako například provozování živnosti či výkon advokacie. Druhá polovina poslední kapitoly obsahuje výčet různých podob, které může podnikání cizinců v České republice mít. Konkrétně je charakterizováno živnostenské podnikání, účast na podnikání prostřednictvím závazkového poměru, účast v české právnické osobě, joint ventures, přeshraniční přeměna právnické osoby, odštěpený závod a evropská společnost.

Abstract:

This thesis deals with the topic of foreigners' entrepreneurship in the Czech Republic. The thesis is structured into three main chapters. The first chapter defines selected concepts, namely foreigners' law, citizen and citizenship of the Czech Republic, foreigner and foreign person, business, the single market of the European Union and EU citizen. The second chapter deals with the historical development. In particular, the development of private international law, the institution of the foreigner and the Aliens Act is described. An outline of the appropriate future development of the Aliens Act is also included in this section. The third and final chapter deals with the actual business of foreigners in the Czech Republic. It describes the types of residence of foreigners and the conditions arising from them, as well as the conditions contained in the legislation regulating particular types of business, such as running a trade or practising law. The second half of the last chapter contains a list of the various forms that foreigners can take to do business in the Czech Republic. Specifically, it characterises trade business, participation in business through a contractual relationship, participation in a Czech legal entity, joint ventures, cross-border transformation of a legal entity, a spin-off company and a European company.
