Abstract:

Obsahem mé diplomové práce je problematika daní a daňového plánování ve vybraných státech Evropské unie, převážně v České republice u dvou právních forem společností, a to evropské společnosti a akciové společnosti. Hlavním cílem práce je vybrat a navrhnout nejvhodnější umístění sídla společnosti a doporučit, která z obou analyzovaných forem je v ČR vhodnější pro podnikání. V první části diplomové práce je teoretická část zaměřená na základní informace o evropské a akciové společnosti týkající se právního systému, způsobu založení společností, vnitřní organizační struktury či možnosti přemístění sídla. Dále je v teoretické části popsán daňový systém České republiky, některé makroekonomické ukazatele, a zdanění ve vybraných státech Evropské unie. V druhé praktické části je analyzována konkrétní společnost a metodou syntézy dat a s využitím matematicko-statistických metod tato společnost vyhodnocena.

Abstract:

The content of my thesis is the issue of taxes and tax planning in selected states of European Union, mainly in two legal forms companies in Czech Republic – European society and Limited liability company. The main aim of this thesis is to choose and propose the most appropriate location of the headquarters and recommend, which one of this two analyzed forms is more suitable for business in Czech Republic. In first part of this thesis, there is a theoretical part focused on basic information about European society and Limited liability company related to legal system, method of estabilishing companies, internal organization structure or possibility of relocating headquarters. Furthermore, in theoretical part of my thesis, there is described tax system of Czech Republic, some macroeconomic indicators and taxation in selected states of European Union. In second practical part of thesis, there is analyzed particular company, and evaluation of this company by synthesis method using mathematical-statistical methods.
