Duties of Corporate Bodies in the Insolvency Proceeding

Abstract:

V předkládané diplomové práci na téma Povinnosti orgánů korporací v insolvenčním řízení se soustředím na důkladný rozbor všech povinností, které je nejen statutární orgán povinen provést v souvislosti s insolvenčním řízením. Práce je členěna do tří základních kapitol, které představují průřez povinností všech orgánů korporací. V úvodu se zabývám teoretickým vytyčením problému a uvedu zde cíl práce. V následující kapitole zmiňuji povinnosti nejen statutárního orgánu, ale i orgánu dozorčího před zahájením insolvenčního řízení. Druhou kapitolu považuji za stěžejní, neboť se zde zabývám odpovědností za neplnění povinností podat insolvenční návrh. V kapitole třetí poukážu na ručení člena statutárního orgánu při úpadku korporace.

Abstract:

In this diploma thesis named Duties of Corporate Bodies in the Insolvency Proceeding, I focus on thoroughly analyzing all the responsibilities that an Statutory Body is obligated to carry out in relation to an insolvency proceeding. The thesis is divided into three key chapters, which represent a cross-section of all of the obligations that all parts of a corporation have. In the introduction, I focus on staking out the problem theoretically, and in there I mention the goal of the thesis. In the chapter that follows, I mention not only the obligations of the Statutory body prior to the commencement of an insolvency proceeding, but also the obligations of the Supervisory Board. The second chapter I consider the most important. In it, I deal with liability for failing to fulfill the obligation to file for insolvency. In the third chapter, I point out the degrees of liability of Statutory body members in the event the company's going bankrupt.
