Abstract:

Tato bakalářská práce se zabývá nově zavedeným institutem kmenových listů ve společnosti s ručením omezeným. Nejprve se věnuji vymezení pojmu založení a vzniku společnosti, poté již přistupuji k problematice týkající se způsobů vydání, nabytí a náležitostí kmenových listů. Rozeberu zde hlavní motiv zavedení kmenových listů, kterým je zjednodušení převodu podílu ve společnosti s ručením omezeným. Jádrem práce je definování kmenových listů v návaznosti na obchodní podíl ve společnosti a na souladu se společenskou smlouvou. Pro pochopení souvislostí je osvětlena problematika cenných papírů, jak z obecného pohledu, tak i pohledem do historie cenných papírů obsahově podobných kmenovým listům. Dále je zde popsána možnost zřízení zástavního práva k obchodnímu podílu a kmenovému listu. Cílem je představení obsáhlejšího materiálu umožňujícího zakladatelům či společníkům společností s ručením omezeným informovanější rozhodování o aplikaci kmenových listů ve své společnosti

Abstract:

This Bachelor Thesis deals with a newly established institute of counterfoils in the limited liability company. At first I pay attention to specification of a term of foundation and recording the company in the register, than I deal with a topic of counterfoils, ways of their issue, acquisition and prerequisites. I specify the main purpose of counterfoils establishment, which is the simplification of business share transfer in the limited liability company. The core of this thesis is to define counterfoils, their correlation with the business share in the company and compliance with the Memorandum of Association. I give general characteristics of securities at first and then I deal with the history of securities that are similar to counterfoils in order to understand the context of securities. Further I specify possibilities of establishment of the right of lien to the business share and counterfoils. The aim of my work is to give the founders of the limited liability company and their partners more comprehensive material that can help them to make well-informed decisions on using the counterfoils in their company.
