Abstract:

Tato bakalářská práce se zabývá jednáním společnosti s ručením omezeným se zaměřením na prokuru, jakožto na zvláštní druh smluvního zastoupení statutárního orgánu společnosti. Tato práce se vedle úvodu a závěru skládá ze čtyř kapitol. První kapitola práce popisuje charakteristické znaky společnosti s ručením omezeným a poskytuje stručný všeobecný přehled tohoto typu obchodní společnosti. Druhá kapitola je věnována institutu zastoupení, kde se autorka konkrétně zaměřuje na zastoupení statutárního orgánu ve zvoleném typu obchodní společnosti. Jednatel může být zastoupen na základě smluvního zastoupení, zákonného zastoupení a opatrovnictví. Stěžejní částí této práce je třetí kapitola, ve které je pojednáno o prokuře. Prokura je vnímána jako zvláštní plná moc, která opravňuje fyzickou osobu zastupovat statutární orgán společnosti v širokém okruhu záležitostí. Prokura slouží především k usnadnění jednání týkající se provozu společnosti, resp. některé její pobočky. Čtvrtá kapitola je zaměřena na praktické poznatky ze života jednatele a jeho prokuristy, které se autorka snažila zachytit prostřednictvím rozhovoru. Hlavním cílem práce je obohatit autorčiny znalosti o teoretické i praktické poznatky a vyřešit otázky, které si autorka klade v úvodu.

Abstract:

This bachelor thesis deals with the conduct of limited liability company with a focus on the procuration as a special type of contractual representation of the statutory body of the company. According to the introduction and conclusion, this thesis consists of four chapters. The first chapter of the thesis describes the characteristics of a limited liability company and provides a brief general overview of this type of company. The second chapter is devoted to the institute of representation, where the author specifically focuses on the representation of the statutory body in the chosen type of company. The managing director may be represented by contractual representation, statutory representation and guardianship. The core part of this thesis is the third chapter, which deals with procuration. A procuration is seen as a special power of attorney that justifies an individual to represent the statutory body of a company in a wide range of matters. A power of attorney serves primarily to facilitate negotiations concerning the operation of the company or a branch of the company. The fourth chapter focuses on practical insights from the life of a managing director and his procurator, which the author tried to capture through an interview. The main aim of the thesis is to enrich the author's knowledge with theoretical and practical insights and to address the questions posed in the introduction.
