Transposition of EU Directives into the Czech Bankruptcy Act and the Slovak Act on Bankruptcy and Restructuring

Abstract:

Tato práce se věnuje transpozici evropského insolvenčního práva do právního řádu České republiky a Slovenské republiky. V první části pojednává o vztahu evropského práva a národního práva, jak z pohledu judikatury, tak z pohledu zakotvení v primárním právu EU. Podrobnější výklad je věnován nařízením a směrnicím EU, neboť se jedná o právní akty v rámci práva Evropské unie nejdůležitější. Problematika je popsána také v rámci slovenského práva. Druhá část práce zahrnuje analýzu a komparaci insolvenčního práva v českém a slovenském právním prostředí v kontextu naplnění cílů Směrnice, jimiž bylo upravit vnitřní rozdíly úpadkového práva členských států EU ve smyslu poskytnutí možnosti preventivní restrukturalizace, podpory životaschopnosti podniků, omezení tzv. forum shopping, jakožto i možnosti podpory fyzickým osobám podnikajícím, skrze její transpozici do národních legislativ. Konkrétně byla využita analyticko-komparativní metoda, při které se porovnávají různé prvky, situace, jevy, a je tak možné lépe porozumět rozdílům a podobnostem mezi nimi. Cílem bylo zjistit, jak se liší přístup České a Slovenské republiky v transpozicích směrnic evropského úpadkového práva.

Abstract:

This thesis deals with the transposition of European insolvency law into the legal order of the Czech Republic and the Slovak Republic. In the first part, it discusses the relationship between European law and national law, both from the point of view of jurisprudence and from the point of view of being anchored in the primary law of the EU. A more detailed interpretation is devoted to EU regulations and directives, as these are the most important legal acts within the framework of European Union law. The issue is also described within Slovak law. The second part of the work includes an analysis and comparison of insolvency law in the Czech and Slovak legal environment in the context of the fulfillment of the objectives of the Directive, which was to adjust the internal differences in bankruptcy law of the EU member states in the sense of providing the possibility of preventive restructuring, supporting the viability of businesses, limiting so-called forum shopping, as well as the possibility of support for natural persons doing business, through its transposition into national legislation. Specifically, an analytical-comparative method was used, in which different elements, situations, phenomena are compared, and thus it is possible to better understand the differences and similarities between them. The aim was to find out how the approaches of the Czech and Slovak Republics differ in the transposition of European bankruptcy law directives.
