Statutes - comparison of legislation of selected corporations

Abstract:

Založení společnosti je klíčovým momentem pro určení charakteru budoucí právnické osoby a její činnosti. Zakladatelské právní jednání musí obsahovat zákonem předepsané náležitosti a dále je na zakladateli, co vše chce určit a co ponechat bez úpravy a omezení. Čím pečlivěji se stanovy vytvoří, tím jednodušší situaci bude společnost mít při řešení strategických i běžných každodenních situací. Cílem mé práce je analyzovat a porovnat, jak moc jsou vybrané korporace při tvorbě stanov zákonem svázány, kolik vlastní invence mohou při vytváření stanov realizovat a naopak, které oblasti mohou pominout.

Abstract:

The establishment of a company is a key moment in determining the nature of the future legal entity and its activities. The founding act must contain the statutory requirements and it is up to the founder to determine what he wants to leave unmodified and unrestricted. The more carefully the articles of association are drafted, the easier the situation will be for the company in dealing with strategic and everyday situations. The aim of my thesis is to analyse and compare how much the selected corporations are bound by the law in the creation of the bylaws, how much of their own inventiveness they can realize in the creation of the bylaws and, conversely, which areas they can omit.
