Legal Effects of Commercial Register Enrollment

Abstract:

This work deals with the current functioning system of the business register in the Slovak Republic. It offers a brief theoretical definition of the concept, purpose and functions of the business register, as well as the historical context of the business register in our country. Attention is given especially to the practical aspects of operation of the business register with emphasis on registering entries, from entry registration application, through means of remedy in case of registration failure, up to the registration itself. Certain worth mentioning points are also critically evaluated.This work also offers comparison of the Slovak business register with the Czech legislation in the context of original joint regulation but also the subsequent gradual autonomy after 1993. The system of the Czech business register has been studied with an emphasis on mutual intersections but also disparities on both sides in positive as well as negative terms. Both systems, though similar, contain a few points that may prove inspiring to the other legislation.

Abstract:

Práca sa zaoberá aktuálnym systémom fungovania obchodného registra v Slovenskej republike. Ponúka stručné teoretické vymedzenie pojmu, účelu a funkcií obchodného registra spolu so zasadením do historického kontextu obchodného registra u nás. Pozornosť je venovaná najmä praktickej stránke fungovania obchodného registra s dôrazom na vykonávanie zápisov v ňom od podania návrhu na zápis cez prostriedky nápravy pri nevykonaní zápisu až po jeho samotné vykonanie. Niektoré z nášho pohľadu spomenutia hodné miesta sú tiež kriticky zhodnotené.Predkladaná práca taktiež ponúka komparáciu slovenského obchodného registra s českou právnou úpravou v kontexte pôvodnej spoločnej jednotnej úpravy, ale aj následného postupného osamostatňovania sa po roku 1993. Je skúmaný systém českého obchodného registra s dôrazom na hľadanie spoločných prienikov, ale aj rozdielov na oboch stranách v pozitívnom, ale aj negatívnom vyjadrení. Oba systémy, hoci navzájom podobné, obsahujú aj niekoľko momentov, ktoré môžu byť pre druhú právnu úpravu inšpirujúce.
