Abstract:

Cílem této diplomové práce je stanovení tržní hodnoty obchodního závodu společnosti OpeTech s. r. o. Pro dosažení tohoto cíle byly provedeny strategická a finanční analýza podniku. Strategická analýza zahrnovala vyhodnocení makroekonomické predikce Ministerstva financí České republiky, analýzu odvětví dle CZ-NACE, Pest analýzu, Porterovu analýzu pěti konkurenčních sil a SWOT analýzu. Z těchto analýz vyplývá, že odvětví, ve kterém podnik působí, je stabilní, ačkoli konkurence je vysoká s nízkými bariérami vstupu. Finanční analýza se zaměřila na absolutní a poměrové ukazatele, stejně jako na komplexní hodnocení podniku. Výsledky finanční analýzy naznačují, že společnost je finančně zdravá a stabilní na trhu. Na základě potvrzení principu pokračující hodnoty bylo provedeno ocenění obchodního závodu. Využity byly dvě metody ocenění – metoda kapitalizovaných čistých výnosů v paušální variantě a majetková metoda na bázi účetních hodnot. Nakonec byla upřednostněna metoda kapitalizovaných čistých výnosů v paušální variantě. Majetková metoda nebyla zohledněna. Tato práce využívá podklady od managementu podniku, veřejně dostupné databáze a informační zdroje pro analýzu a výpočty. Jejím výsledkem je stanovení tržní hodnoty obchodního závodu společnosti OpeTech s. r. o. na základě provedených strategických a finančních analýz a ocenění podniku pomocí výnosové metody ocenění.

Abstract:

The aim of this diploma thesis is to determine the market value of the business plant of the company OpeTech s. r. o. To achieve this goal, a strategic and financial analysis of the company was carried out. The strategic analysis included the evaluation of the macroeconomic forecast of the Ministry of Finance of the Czech Republic, analysis of the industry according to CZ-NACE, Pest analysis, Porter's analysis of five competitive forces and SWOT analysis. These analyzes show that the industry in which the company operates is stable, although competition is high with low barriers to entry. The financial analysis focused on absolute and ratio indicators, as well as on a comprehensive evaluation of the company. The results of the financial analysis indicate that the company is financially sound and stable on the market. Based on the confirmation of the continuing value principle, the valuation of the business plant was carried out. Two valuation methods were used – the method of capitalized net income in the flat-rate variant and the property method based on book values. In the end, the method of capitalized net income in the flat-rate variant was preferred. The property method was not taken into account. This work uses documents from the company's management, publicly available databases and information sources for analysis and calculations. Its result is the determination of the market value of the commercial plant of the company OpeTech s. r. o. based on the strategic and financial analyzes carried out and the valuation of the company using the income method of valuation.
