Concern

Abstract:

Tato bakalářská práce se věnuje problematice podnikatelských seskupení se zaměřením na jejich nejvyšší stupeň, koncern. Práce je rozdělena do 4 částí, kdy první část je rozdělena do dvou podkapitol, které se věnují dvěma nižším úrovním podnikatelských seskupení. První podkapitola se věnuje ovlivnění a způsobu náhrady případné újmy. Druhá kapitola se věnuje ovládání, osobám v rámci ovládání a zprávě o vztazích. Druhá a třetí část práce jsou zaměřeny na koncern, kdy druhá část pojednává o mezinárodních právních přístupech, které ovlivnili koncernové právo v České republice, zejména německé a francouzské právo. Ve třetí části jsou popsány materiální a formální podmínky existence koncernu, specifika odpovědnosti za újmu a její vyrovnání včetně možností společníků opustit koncern. Čtvrtá část na konkrétním příkladu popisuje, jaký je rozdíl v následcích udělení nevhodného pokynu v rámci podnikatelského seskupení a koncernu.

Abstract:

This bachelor's thesis deals with the issue of corporate groupings with a focus on their highest level, concern. The thesis is divided into 4 parts, where the first part is divided into two subchapters that deal with the two lower levels of corporate groupings. The first subchapter deals with the influencing and the manner of compensation for any damage. The second subchapter deals with control, persons in the context of control and the relationship report. The second and third sections of the thesis focus on the concern, where the second section discusses international legal approaches that have influenced concern law in the Czech Republic, in particular German and French law. The third part describes the material and formal conditions for the existence of a concern, the specifics of liability for damages and their compensation, including the possibility for the partners to leave the concern. The fourth part describes the difference in the consequences of giving an inappropriate instruction within a business group and a concern.
