Anonymity of Shareholders and Conditions of Their Identification

Abstract:

Názvem a stěžejním tématem bakalářské práce je problematika anonymity akcionářů a podmínky jejich identifikace. Téma je zařazeno do širších souvislostí, historických i politických. Nejprve jsou v úvodní kapitole vymezeny základní odborné termíny a to akciová společnost, akcie, akcionář v souladu s právní úpravou platnou v České republice. Dále jsou řešeny širší souvislosti vztahující se k tématu práva a povinnosti akcionářů, anonymita akcionářů a problematice členění akcií, největší pozornost je v této části věnována „anonymním“ akciím, především akciím na majitele/doručitele. Veškerá tato problematika je analyzována a konfrontována v kontextu s aktuálně platnou právní úpravou v ČR. Závěrečná a zároveň praktická část předloženého textu se věnuje zastoupení právní formy podnikání označované „akciová společnost“ mezi ostatními obchodními společnostmi v České republice, dále pak zastoupení a struktuře akciových společností dle podoby a formy vydávaných akcií a v neposlední míře se také pokouší podat přehled českých firem se zahraničním vlastníkem, opět s důrazem na podíl akciových společností na tomto počtu.

Abstract:

The name and principal concern of this thesis is the issue of anonymity of the shareholders and the conditions for their identification. The topic is situated in a broader context, historical and political. First, in an introductory chapter, the basic technical terms are defined, such as joint stock company, shares, the shareholder, in accordance with the legislation in force in the Czech Republic. There is also addressed broader context related to the topic of the rights and obligations of shareholders, shareholders and anonymity issues of division of shares, the greatest attention is paid to this part of the "anonymous" shares, especially shares of the owner / bearer. All these issues are analyzed and compared in the context of the currently valid legislation in the country. The final and practical part of the present text focuses on the legal form of business called "joint stock company" among other trading companies in the Czech Republic, as well as the representation and structure of public limited companies according to shape and form of shares issued and not least it also attempts to provide an overview of the foreign-owned Czech companies, again with an emphasis on equity share of the company at this number.
