Crisis management firm - to restructure or reorganize?

Abstract:

Tato diplomová práce se primárně zabývá analýzou způsobů řešení podnikových krizí za využití konstruktivních metod, za které považuji restrukturalizaci a reorganizaci. Základním cílem je vysvětlení rozdílů těchto dvou sanačních přístupů ke vzniklé krizi v podniku a rozboru jejich pozitivních či negativních stránek. K tomuto účelu byl vybrán vždy jeden příklad z praxe zastupující úspěšný i neúspěšný průběh restrukturalizace a reorganizace firmy. Hlavním zdrojem informací byla data dostupná na internetu -- zvláště insolvenčním rejstříku, a také jsem se mohl opřít o praktické zkušenosti s některými případy získané v průběhu mého zaměstnání. Výsledkem je vytyčení základních odlišností, které svědčí o nedostačující právní úpravě možnosti restrukturalizovat podnik v krizi ještě před prohlášením úpadku v rámci insolvenčního řízení.

Abstract:

This thesis is primarily concerned with the analysis of different ways of company crisis management using the constructive methods of restructuring and reorganization. The main goal of the thesis is to explain the differences between the crisis remediation approaches of restructuring and reorganization and to analyse their pros and cons. This is done through case studies of one successful and one unsuccessful real-world examples of restructuring and of reorganization. The main sources of information were data available on the internet, in particular the insolvency register, and the exposure to insolvency cases I have had in my professional position. The result is a delineation of some key differences between restructuring and reorganization, which demonstrate the insufficient legal regulation of the option of restructuring a company in crises prior to the issue of bankruptcy as part of the insolvency proceedings.
