“Forced” Ending of Capital Participation in Limited Liability Companies

Abstract:

Bakalářská práce je zaměřena na problematiku nuceného neboli nedobrovolného zániku účasti společníka ve společnosti s ručením omezeným. První část práce pojednává o společnosti s ručením omezeným a o souvislostech, které úzce navazují na zánik společníka ve společnosti. V práci je kladen důraz na vyloučení společníka soudem a na vyloučení společníka valnou hromadou společně s dalšími způsoby zániku účasti společníka ve společnosti, doplněné o právní následky.

Abstract:

This bachelor thesis is focused on the issue of enforced or involuntary termination of shareholder´s participation in a limited liability company. The first part of the thesis discusses about the limited liability company and connections that are closely related to the termination of the shareholder in the company itself. Consideration of the thesis is mainly concentrated on an expulsion of the shareholder by a court and the expulsion of the shareholder by a general meeting together with other ways of termination of shareholder´s participation in the company accompanied by legal consequences.
