Construction of the Contractual Penlaty Clause in the Commercial Contract

Abstract:

Práce se zabývá konstrukcí smluvní pokuty v obchodní smlouvě. Krátce popisuje funkce smluvní pokuty, podobu její současné právní úpravy v OZ a ObchZ a stručně se dotýká i úpravy v novém občanském zákoníku. Další text popisuje vztah a rozdíly mezi smluvní pokutou a ostatními smluvními instituty - náhradou škody, úroky z prodlení, zánikem závazku, atd. Třetí část se zabývá praktickými otázkami dohody o smluvní pokutě v obchodní smlouvě, tj. jaké podmínky musí být splněny, aby dohoda o smluvní pokutě byla platná, jaké povinnosti lze smluvní pokutou zajišťovat, jakým způsobem je určována výše smluvní pokuty.

Abstract:

The theme of this work is the construction of the contractual penalty clause in the commercial contract. The short description of functions of the contractual penalty - preventive, repair and penalty function is followed by an overview of current legal regulation of the contractual penalty i.e. articles 544 and 545 of the Civil Code and special regulations of the contractual penalty for business relations in articles 300, 301 and 302 of the Commercial Code. There are also mentioned future regulation in articles 2048 to 2052 of the new Civil Code which become effective in 2014. The following text deals with the relations and differencies between contractual penalty and other institutes of the private law with a similar impact, i.e. compensation of a damage, interest on late payment and avoidance of contract. The third chapter deals with the practical points of contractual penalty agreement. It describes necessary conditions to reach validity of such agreement, that means written form, definition of secured obligations and definition of the amount or calculation method of the amount of contractual penalty.
