Economic aspects of the transformation of the cooperative into joint stock company

Abstract:

Předmětem bakalářské práce „Ekonomické aspekty transformace družstva na akciovou společnost“ je rozbor procesu transformace formou změny právní formy z pohledu ekonomických důsledků pro společnost, z pohledu nákladů na realizaci změny a z pohledu stakeholderů, jejichž postavení může být ovlivněno. Úvodem obecně zařazuji pojem transformace družstev, vymezuji dvě rozdílné časové mnohdy následné transformace a pojednávám o předpisech, které problematiku upravují. Druhá část je věnována ekonomickým a organizačním aspektům transformace, rozebírám zde přínosy a náklady, které na sebe změna právní formy váže. Třetí část je plně věnována finanční analýze, kde definuji vybrané finanční ukazatele a vyjadřuji důvod, proč se těmto ukazatelům v práci věnuji s cílem získání podkladových informací pro závěrečné doporučení. Ve čtvrté části bakalářské práce aplikuji veškeré poznatky z předchozích částí na dvě konkrétní družstva. První z družstev hodnotím před změnou právní formy a po této změně. Dle srovnání výchozího stavu obou subjektů pak provádím analýzu vhodnosti doporučení změny právní formy na akciovou společnost pro vybrané druhé družstvo. Závěrem pak popisuji nutné další kroky k dokončení procesu.

Abstract:

The goal of the thesis "Economic aspects of cooperative transformation into a joint stock company" is to make an analysis of the process of transformation as a change of legal form from the perspective of the economic consequences for company, of the costs of implementing the changes and from the perspective of stakeholders whose status may be affected. In the beginning I define two different types of transformation and describe the legal regulations of that procedure. The second part of the thesis is devoted to economic and organizational aspects of transformation. I analyze the benefits and costs, which usually are related to the transformation. The third section is fully dedicated to financial analysis. I present definitions of the selected financial indicators and express why these indicators are useful in order to obtain background information for the final recommendation. In the fourth part of the thesis I apply all the knowledge from previous parts on the two particular companies. The first company is analyzed before the change of legal form and after that change. The results are compared with the second company and especially its initial position before the change of legal form to a joint stock company. Comparison of those two analyses then makes background for a decision about recommendation of transformation. In conclusion I describe the next steps necessary to complete whole transformation process.
