Liability of the capital companies representatives

Anotace:

Práce se věnuje odpovědnosti reprezentantů kapitálových obchodních společností zejména podle obchodního zákoníku. Práce je rozdělena do devíti halvních kapitol, obahuje také přehled použité literatury a judikatury. V úvodu autor vysvětluje svůj záměr a uvádí okolnosti, které jej vedou k zájmu o toto téma. Druhá kapitola podává definice základních pojmů, konkrétně pak definuje obchodní společnosti, jejich reprezentanty, odpovědnost a corporate governance.Třetí kapitola se zabývá jednotlivými hlavními hlavními povinnostmi členů statutárních orgánů, kterými jsou: výkon funkce v souladu se smlouvou, výkon funkce v souladu s požadavky obchodního zákoníku, výkon funkce s péčí řádného hospodáře (sahující podkapitolu o důkazu výkonu funkce s péčí řádného hospodáře odborným posudkem),povinnost mlčenlivosti a zákaz konkurence. Pátá kapitole je věnována některých speciálním povinnostem, jako jsou např. povinnost svolat valnou hromadu při hospodářských obtížích společnosti, souhlas dozorčí rady s uzavřením některých smluv, opatření proti konfliktu zájmů,zákaz nekalé soutěže, dohled nad výkonem působnosti představenstva a nad uskutečňováním podnikatelské činnosti společnosti a přezkoumávání účetní závěrky a návrhu na rozdělení zisku či úhradu ztráty. Pátá kapitola se zabývá soukromoprávní odpovědností reprezentantů kapitálových společností z pohledu odpovědnosti vůči společnosti, funkční odpovědnosti,odpovědnosti za škodu, odpovědnosti za porušení zákazu konkurence a zákazu nekalé soutěže, odpovědnosti vůči společníkům (akcionářům) kapitálových společností a odpovědnosti vůči třetím osobám. Šestá kapitola obsahuje několik poznámek k trestněprávní odpovědnosti reprezentantů kapitálových společností a v sedmé kapitoly je nastíněna problematika trestní odpovědnosti právnických osob.Osmá kapitola se zabývá problematikou souběhu výkonu funkce statutárního orgánu společnosti a vedoucího zaměstnance téže společnosti. Devátá kapitola pojednává o Sarbanes-Oxley Act of 2002, rozebírá důvody a okolnosti jeho vzniku a jeho základní principy. Devátá kapitloa obsahuje závěrečná doporučení reprezentantům.

Abstract:

This work deals with the liability of the capital companies representatives according to the Czech law, especially according to Act No. 513/1991 Col., Commercial Code, as amended. The publication work is divided into nine main chapters in which the author deals with the main issues of these problematic. The publication also contains a list of used literature and a list of used judgements. In the introduction the author explains his aims and grounds of being interest in this topic. The second chapter gives definitions to basic terms used in this work in accordance with the Czech law. We simply get to know the meaning of terms appropriate to business companies (like limited liability company, joint stock com-pany, Societas Europaea), companies representatives (board of directors, supervisory board, administrators), liability and corporate governance, which are mostly connected with the topic. The third chapter deals with the main duties of capital companies representatives. This chapter is divided into five subchapters which refers to the main legal duties as follows: to excercise the powers in accordance with the contract (between a representative and a company),to excercise the powers in accordance with the requirements of the Commercial Code,to excercise the powers with the due managerial care (due diligence); also contains a subchapter concernig to an expert report as an evidence of the exercise of powers with the due managerial care,duty of secretion (not to disclose confidential information and facts to the third person, if such disclosure might be detrimental to the company),prohibition of a competitive activity (dealings). The fourth chapter deals with some special duties of the capital companies representatives. These duties of the board of directors (statutory body) are: a duty to convene a general meeting in case of being ascertained that the company meets serious economic difficulties, a duty to require the supervisory boards approval to the conclusion of con-tracts by which the company alienates a property of a value exceeding one-third of the companys equity capital within one accounting period, a duty to conclude a credit, loan contract, contract on securement of the debts or a contract on a free-of-charge transfer with the persons specified in the sec. 196a of the Commercial Code only with the prior approval of the general meeting and only under the terms customary in commercial intercourse and a duty to observe other arrangements within the conflict of interests, a duty to observe the prohibition of an unfair competition. Special duties of a supervisory board are: a duty to supervise the board of directors exercise of its powers and the conduct of the company business activity, duty to examine financial statements and a proposed distribution of a profit or a settlement of a loss and to submit its comments to the general meeting. The fifth chapter deals with the liability of the capital companies represen-tatives according to the private law and in the particular subchapters points out the liability to the company, the function liability (its consequense could be a sus-pension from the office), the liability for a damage, the liability for breaching the prohibition of the competitive activity, the liability for breaching the prohibition of an unfair competition, the liability to the partners or shareholders of the capital companies and the liability to the third persons - stakeholders. This chapter also describes some special cases in which the representatives of the capital companies guarantee for the claims of creditors. The sixth chapter deals with comments to the criminal liability of the capi-tal companies representatives and gives a breaf overview of crimes, which are broadly connected with the business activities. There is also a short exposition of a proposed act concernig the criminal liability of the legal entities in this chapter. Then, in the seventh chapter, the author deals with some comments to the

concurrence of the function of a statutory body of a capital company (e. g. the chairman of the board) and the head employee (e.g. the general manager) of the same company. The eighth chapter describes the main principles, reasons and circum-stances of the birth of the Sarbanes-Oxley Act of 2002, that deems to be a biggest reform of the company law in the United States of America within the last 55 years. The birth of this act was provoked by the great financial scandals of the companies like Enron and WorldCom which also influenced the legislation of the EU. Finally, in the chapter nine, the author gives a recomendation to the capital companies representatives - how to succeed in the formidable world of the corporate governance.
