Withdrawal from Agreements and Unfair Acting of Traders

Abstract:

Cílem této práce je pojednat o právním jednání, odstoupení od smlouvy, kterým smluvní strana projevuje vůli jednostranně ukončit platnost smlouvy a o nekalých obchodních praktikách, respektive o snaze vyrovnat nerovnováhu mezi prodávajícím a spotřebitelem, ať už co se týče informovanosti spotřebitele o jeho právech, ale i o vlastnostech výrobků a možnosti uplatnit na trhu své ekonomické zájmy. Práce si klade za cíl definovat, jak probíhá odstoupení od smlouvy a co jsou nekalé obchodní praktiky, tedy jak je legislativou definováno jednání prodávajícího, které neúměrně ovlivňuje svobodnou vůli kupujícího směrem ke koupi zboží. Práce nastiňuje i legislativní proces, kterým byly nové normy implementovány do ústavního systému České republiky; popisován je též vývoj těchto fenoménů po zavedení Nového občanského zákoníku v roce 2012, který přináší jiné zásady a jiný pohled na soukromé právo jako celek, jelikož upozaďuje formální pravidla a podporuje lidskou svobodu, přirozená, nezadatelná práva člověka. Pozornost je také věnována tomu, jak se změnila legislativa v oblasti nekalých obchodních praktik po implementaci Směrnice Evropského parlamentu a Rady č. 2011/83/EU. Bakalářská práce popisuje rovněnž historii i současnou praxi v oblasti ochrany spotřebitele na území ČR a její legislativní ukotvení, přibližuje čtenáři které orgány se zabývají případnou kontrolou a sankcemi porušení aktuálně platné legislativy a zabývá se také chystanou novelizací v této oblasti.

Abstract:

The point of this thesis is to address the act of cancelling a contract, when one of the parties expresses the will to end the effects of the contract. This work will also deal with the phenomenon of unfair business practices and with the attempts to restore legal balance between the consumer and the seller, whether it is the consumer’s awareness of his rights, or the qualities of the product and the options of realizing one‘s economic needs in the market. This thesis aims to describe the process of cancelling a contract and to define the phenomenon of unfair business practices; what is the legislative scope of protecting the consumer against unfair business practices. This work provides a brief overview of the legislative process of implementing into the constitutional system of the Czech republic; the introduction of the new Civil code and its effects on the law is also described. The focus is also on the legislative changes regarding unfair business practices following the implementation of European Parliament’s and Council‘s Directive no. 2011/83/EU. This bachelor thesis also describes the roots and current practices of consumer protection in the Czech lands and its legislative scope, introduces the reader to the authorities responsible for itssupervision and sanctioning of the currently valid legislation and deals with the planned amendments to it.
