Protection of the weaker party in the new Civil Code

Abstract:

Předložená disertační práce pojednává o ochraně slabší smluvní strany v občanském zákoníku. Klade si především za cíl určit vztah mezi smluvní svobodou a ochranou slabší smluvní strany. Základním východiskem smluvního práva je smluvní svoboda. Její formální uplatňování však v mnohých případech může vést k napětí mezi formálními principy, které ovládají smluvní právo, a požadavky, které pramení z materiálního pohledu na její fungování. Toto zjištění pramení z historického pohledu na smluvní svobodu a její omezení, stejně jako z modelů, které se k posuzování vzájemného vztahu mezi smluvní svobodou a ochranou slabší smluvní strany historicky vyvinuly, jelikož ochrana slabší smluvní strany není téma, které by bylo předmětem zájmu pouze posledních několika let. Na základě těchto východisek, která se v některých částech této práce opírají i o příslušné ekonomické argumenty, se pokouším formulovat vlastní názor na ochranný model občanského zákoníku, který právní úprava reprezentuje. Vzhledem k tomu, že jádro ustanovení chránících slabší smluvní stranu se koncentruje především v obecných ustanoveních o závazcích, je významná část této práce věnována rovněž těmto tzv. ochranným generálním klauzulím. Formulování vlastních úvah o ochranném modelu občanského zákoníku a jejich následná konfrontace s ochrannými ustanoveními, mne posléze přivádí i k úvahám de lege ferenda. Cílem těchto úvah je určit, zda ochrana slabší smluvní strany v občanském zákoníku je dostatečná, nebo zda je potřebné v některých dílčích aspektech tento model reformulovat.

Abstract:

The presented dissertation deals with the protection of the weaker party in the Civil Code. It seeks primarily to determine the relationship between contractual freedom and the protection of the weaker party. The fundamental principle of contractual law is contractual freedom. However, its formal application can in many cases lead to tensions between the formal principles underlying contractual law and the demands arising from the material view of its functioning. This finding stems historically from contractual freedom and its restrictions, as well as from models that have historically evolved to assess the relationship between contractual freedom and the protection of the weaker party, since the protection of the weaker party is not a matter of interest only to the last years. Based on these bases, which in some parts of this thesis are based on the relevant economic arguments, I try to formulate my own opinion on the protection model of the Civil Code, which the legal regulativ represents. Given that the core of the provisions protecting the weaker party is concentrated primarily in the general provisions on commitments, a significant part of this work is also devoted to these so-called protective general clauses. The formulation of my own considerations about the protection model of the Civil Code and their subsequent confrontation with the protective provisions also leads me to the de lege ferenda considerations. The aim of these considerations is to determine whether the protection of the weaker party in the Civil Code is sufficient or whether it is necessary in some partial aspects to reformulate this model.
