Frequent Legal Issues Concerning the Process of Business Contractation

Abstract:

Bakalářská práce se zabývá problematikou uzavírání obchodních smluv a v souvislosti s tím též nejčastějšími právními problémy, které v procesu kontraktace mohou vznikat. Zmíněna je obecná právní úprava tohoto procesu obsažená v občanském zákoníku a na to navazuje speciální právní úprava týkající se uzavírání smluv typických pro obchodněprávní vztahy. Zmíněna je důležitost základních prvků a předpokladů vzniku obchodněprávní smlouvy – osoby toho vztahu, volba mezi smlouvou typovou (nominátní) a nepojmenovanou (inominátní), obsahové náležitosti smluv atd. Zmíněna je rovněž problematika tzv. předsmluvní odpovědnosti, elektronické kontraktace a další. Vstupem do celé problematiky je ohlédnutí do nedaleké historie. Problematika nejčastějších právních problémů, ke kterým v procesu kontraktace může docházet a některá doporučení, jak těmto problémům předcházet se prolíná téměř všemi částmi této práce.

Abstract:

The thesis deals with the issue of business contracts and the most frequent legal problems possibly arising with the process of contracting. The general legal regulations of this process included in the Civil Code are mentioned together with special legal regulations concerning contracts typical for business relations. Another topic discussed is the importance of basic elements and presuppositions of a business contract formation – participants of this relation, preference of nominate or innominate type of contract, matters of content, etc. There are also mentioned issues of responsibility which arises during contracting, electronic contracting and others. The introduction of the issues starts with showing its historical background. The issue of the most frequent legal problems that may arise in the process of contracting and some of the recommendations how to prevent them is involved in every part of this work.
