Merger and acquisition like a form of development and restructuring of company

Abstract:

Cílem diplomové práce je analýza úspěšnosti realizovaných prodejních transakcí v oblasti fúzí a akvizic v konkrétní společnosti působící v České republice. Tato společnost je součástí největšího evropského elektrotechnického koncernu. Mnou vybraný subjekt prošel v roce 2010 několika zásadními strukturálními změnami, tento podnik byl předmětem uskutečněné akvizice a jeho zbylé dvě divize fúzovaly do mateřské společnosti v České republice. Záměrem mé práce je získané poznatky objektivně zhodnotit a analyzovat. Nakonec však svým pohledem a získanými znalostmi celou transakci okomentovat z hlediska přínosů. Toto téma jsem si vybral i proto, že jsem proces prodeje dvou částí podniku (divizí) z této vybrané společnosti na lokální úrovni koordinoval. Práce je rozdělena do 4 kapitol, které jsou dále děleny do tematických podkapitol. První kapitola vysvětluje základní používané pojmy a názvosloví, která jsou s tématem fúzí a akvizic neodmyslitelně spojená. Zároveň se zde věnuji historii a vývoji fúzí a akvizic. Druhá kapitola pojednává o metodách oceňování, které jsou v dnešní literatuře i praxi používány. Třetí kapitola je věnována souhrnu rizik na jedné straně a obchodním příležitostem, které jsou hlavním motorem těchto transakcí na straně druhé, včetně aktuálních trendů. Poslední, čtvrtá kapitola, je zpracována jako praktická část diplomové práce. Hlavním cílem této kapitoly je na konkrétní společnosti analyzovat úspěšnost realizovaných transakcí odprodejů části podniku jako součásti restrukturalizačního opatření podniku.

Abstract:

The aim of the thesis is to analyze the success of realized M & A transactions in the selected companies in the Czech Republic. This company is part of Europe's largest electrical engineering group. My chosen subject passed in 2010, several major structural changes. This company was effected the subject of acquisitions and its other two divisions merged into the parent company in the Czech Republic. The aim of this thesis is objectively evaluate and analyzed the acquired data during this carve-out process. But finally, based on acquired knowledge and know-how to comment on the benefits of transaction. This topic I chose because I have coordinated the carve-out process of two divisions of the selected company at the local level. The thesis is divided into 4 chapters, which are further divided into thematic subchapters. The first chapter explains the basic terminology and used terms, which are for the topic of mergers and acquisitions an essential related. At the same time are devoted to the history and development, mergers and acquisitions. The second chapter deals with methods of valuation in today's literature and practical application. The third chapter is devoted to the summary of risks on the one hand and the business opportunities that are a major driver of these transactions on the other hand, including current trends. Last, the fourth chapter is written as a practical part of thesis. The main objective of this chapter is to analyze the success of the specific transactions of realized sale part of the company as the part of the restructuring measures of the company.
