Principles of Private Law and Their Modifications in Commercial Law

Abstract:

Tato práce si klade za cíl komplexní rozbor obchodněprávní judikatury zaměřené na podnikatelské vztahy, v jejichž rámci soudy používají vybrané zásady soukromého práva: zásadu autonomie vůle, dobrých mravů, rovnosti, ochrany slabší strany, dispozitivnosti a zákazu zneužití práva. Práce se zaměřuje na způsob, jakým soudy soukromoprávní zásady aplikují. Účelem této práce je vymezit co nejreprezentativnější soubor judikatury reflektující aplikační význam zásad soukromého práva v soudní praxi, podrobit judikaturu kritickému zhodnocení a dojít k závěru, zda lze v rámci aplikace jednotlivých zásad dovodit zobecněné závěry.

Abstract:

The aim of this thesis is a complex study of commercial law’s court rulings focused on the relationships between businessmen, where courts use certain principles of the private law: the autonomy of will, good morals, equity, protection of the weaker party, possibility of derogation from the legislation, and the prohibition of misuse of the law. The main focus is on the approach of the courts in regards to the application of the principles. The aim of this thesis is to create the most representative list of rulings which reflect the application meaning of the principles in judicial praxis, to evaluate it critically and to conclude whether it is possible to reach general conclusions in regards to the judicial application.
