The Contract on International Sale of Goods

Abstract:

Tato bakalářská práce se zabývá velmi významným dokumentem v oblasti práva mezinárodního obchodu, tím je Úmluva OSN o mezinárodní koupi zboží (dále jen Vídeňská úmluva) Hlavním cílem práce je představit mezinárodní kupní smlouvu, její právní úpravu a to především přímou a kolizní metodu. Další část bakalářské práce je věnována Vídeňské úmluvě, kde je hlavním cílem uvést práva a povinnosti prodávajícího, kupujícího a jejich společná práva a povinnosti. V menším měřítku se také zabývám Úmluvou o promlčení při mezinárodní koupi zboží. Dále se věnuji obchodnímu termínu INCOTERMS, kde uvádím pravidla INCOTERMS 2010. Poslední část se zabývá řešením sporů mezi smluvními stranami, kde se po krátkém představení všech způsobů, věnuji podrobněji rozhodčímu řízení, který patří k nejčastějšímu způsobu řešení sporů vzniklých z mezinárodního obchodu. V závěru je zhodnocen význam Vídeňské úmluvy z hlediska její vhodnosti.

Abstract:

The topic of this bachelor thesis is a very important document in terms of international trade rights, which is the United Nations Convention on Contracts for the International Sale of Goods (Vienna Convention) The main aim of this work is to present international purchase contracts and the legislation that covers them, particularly the direct and collision method. The next part of this thesis is devoted to the Vienna Convention, with the main aim being to present the rights and obligations of the seller and the purchaser, as well as their joint rights and obligations. To a lesser extent I also look at the Convention on the Limitation Period in the International Sale of Goods, as well as the INCOTERMS commercial terms, where I specify the INCOTERMS 2010 rules. The last part deals with resolving disputes between contracting parties, where I briefly present all the different methods and then provide a detailed description of arbitration proceedings, which are one of the most common ways of resolving international trade disputes. The conclusion gives an evaluation of the importance of the Vienna Convention in terms of its suitability.
