The effectiveness of selected intrastate merger

Abstract:

The main aim of the diploma thesis called „The effectiveness of selected intrastate merger“ is an evaluation of effects resulting from intrastate merger that has been implemented among the trading companies. The thesis is divided into a theoretical part and a practical part. In the theoretical part, the merger is approached in general, its legal regulation and tax aspects, there are listed the economic motives that lead the companies to the merger and there are also characterized the methods of financial analysis that are used in the diploma thesis. The practical part is focused on two real companies that have decided for mutual merger. It describes the course of the merger and the successor company and presents the results of the financial analysis and company valuation, which evaluate the efficiency and success of the merger and whether the economic motives have been fulfilled.

Abstract:

Cieľom diplomovej práce „Efektívnosť vybranej vnútroštátnej fúzie“ je zhodnotiť efekty plynúce z vnútroštátnej fúzie, realizovanej medzi obchodnými spoločnosťami. Práca je rozdelená na teoretickú a praktickú časť. V teoretickej časti je priblížená fúzia vo všeobecnosti, jej právna úprava a daňové aspekty, uvedené sú v nej ekonomické motívy, ktoré vedú spoločnosti k fúzii a charakterizované metódy finančnej analýzy, ktoré sa v diplomovej práci využívajú. V praktickej časti sú predstavené dve reálne spoločnosti, ktoré sa rozhodli pre vzájomnú fúziu. Je opísaný priebeh fúzie a nástupnícka spoločnosť a sú prezentované výsledky finančnej analýzy a ocenenia spoločností, pomocou ktorých dochádza k zhodnoteniu efektívnosti a úspešnosti fúzie a zároveň, či došlo k naplneniu ekonomických motívov.
