Dematerialized Securities in the Czech Law

Abstract:

Tato diplomová práce se zaměřuje na institut zaknihovaných cenných papírů, který zaznamenal v posledních letech bouřlivý rozvoj, završený v podobě zakotvení celého institutu do nového občanského zákoníku. Předkládaná práce tento vývoj sleduje, přičemž hlavní důraz klade na detailní rozbor institutu v novém občanském zákoníku a dalších souvisejících předpisech. Tam kde je třeba, podrobuje současnou právní úpravu kritické analýze. Cílem tohoto díla je tedy komplexně rozebrat zaknihovaný cenný papír z hlediska jeho vzniku, náležitostí, definice a možnosti přeměny, dále osvětlit, jak funguje jeho evidence a v neposlední řadě se zabývat otázkou realizace jeho dispozic, čítající převody a možnost zastavení. Přesto, že hlavní část práce pracuje s českým právním řádem, je uvedena i úprava rozebíraného institutu ve vybraných zahraničních právních řádech.

Abstract:

This diploma thesis focuses on the Institut of Dematerialized Securities which has recently noted a turbulent development rounded off in the form of establishment of the hole institute in present Civil Code. The presented thesis fallows this development whereas mainly emphsises on detail analysis of the institute in present Civil Code and other related laws. Where necessary subjects present law to critical analysis. The aim of this work is to comletely analyse dematerialized security in light of origin, propriety, definition and possibilities of transformation, to explain, the way register works and also focuses on the realisation of its disposition, transmision and possibility of pledge. Despite the fact that main part of this thesis works with the Czech system of law, is also presents an adjustment of above mentioned institute in selected foreign law systems.
