Limitation of Damages Clause in International Trade

Abstract:

This thesis adresses the possibilities of contractual limitation of damages in international trade with focus on limitation by the way of contractual penalty, liquidated damages clause and limitation of liability by fixed sum stipulating upper limit of damages paid by the wrongdoing party to a contract. The relevant regulation is analyzed in three steps. Firstly, limitation of damages in national substantive laws is discussed. It is submitted that no major differences are to be found in the continental Europe (civil law systems) as opposed to the understanding of liquidated damages and penalties in the common law countries, which differs radically from the understanding of such clauses in the continental Europe. Consequently, conflict-of-laws norms applicable in the Czech Republic are dealt with. According to these norms the parties are free to choose a governing law for their contract and they are advised to make the choice accordingly to the method of limitation. As a third step, the regime of international conventions, mainly UN Convention on the Contracts for the International Sale of Goods (CISG), is analyzed thereafter with last chapters focusing on international transport contracts and lex mercatoria (UNIDROIT Principles of International Commercial Contracts and Principles of European Contract Law). It is concluded that use of limitation of damages clauses in international trade is dependent on their regulation in applicable national laws even under the regime of unifying international conventions.

Abstract:

Diplomová práca sa zaoberá možnosťami zmluvnej limitácie náhrady škody v medzinárodnom obchode zmluvnou pokutou, stanovením horného limitu náhrady škody a inštitútom liquidated damages známym z angloamerického právneho systému. Právna úprava je skúmaná na troch úrovniach. Prvým krokom je komparácia právnych poriadkov štátov kontinentálneho a angloamerického právneho systému. Domnievame sa, že v rámci kontinentálneho právneho systému neexistujú výrazné rozdiely v náhľade na zmluvnú limitáciu náhrady škody, úprava liquidated damages a zmluvných pokút v angolamerickom právnom systéme sa od kontinentálneho prístupu výrazne odlišuje. Následne sú analyzované súbory kolíznych noriem aplikovateľné českými súdmi. V súlade s týmito normami majú strany možnosť zvoliť rozhodné právo pre záväzkový vzťah a navrhujeme, aby vykonali voľbu s prhliadnutím k spôsobu limitácie. V treťom kroku je skúmaná priama úprava medzinárodných zmlúv, konkrétne Dohovoru OSN o zmluvách o medzinárodnej kúpe tovaru, záverečné kapitoly sa zaoberajú zmluvami o medzinárodnej preprave a normami lex mercatoria. Záverom práce je tvrdenie, že zmluvná limitácia náhrady škody v medzinárodnom obchode závisí od rozhodného národného práva aj vtedy, ak zmluva podlieha priamym normám obsiahnutým v medzinárodných zmluvách.
