Diplomová práce se zabývá vlivem sekundárního práva EU na vnitrostátní pojetí péče řádného hospodáře a pravidla podnikatelského úsudku. This thesis examines the impact of EU secondary law on the national concepts of the fiduciary duties and the business judgement rule. It first analyses the normative interaction between EU law and these concepts, particularly regarding the admissibility of an efficient breach of law.
