Descriptive analysis of transformations in the Czech Republic

Abstract:

Tématem této diplomové práce jsou přeměny obchodních společností uskutečněné na území České republiky. Práce se věnuje podstatě přeměn a jejich účetnímu zachycení, jak z teoretického hlediska dle české legislativy, tak i postupům využívaným v praxi. Teoretická část je zaměřena na základní náležitosti přeměn vyplývajících ze zákona č. 125/2008 Sb. a související účetní regulaci. Je zde pojednáno o právních, účetních i daňových aspektech přeměn obchodních společností, ať už jde o fúze, rozdělení, převod jmění na společníka, změnu právní formy či přeshraniční přemístění sídla. Velký důraz je v práci kladen na empirickou část, která spočívá ve shromáždění a analýze souboru transakcí přeměn v České republice. Jedná se především o informace ohledně vlastnické struktury, stanovení rozhodného dne, motivu, hodnotě vlastního kapitálu před a po uskutečnění přeměny, ale také vzniku nových účetních položek na základě uskutečněné přeměny. Cílem empirické části je vyhodnocení, zda jsou výsledky analýzy v souladu s teoretickými poznatky popsanými v úvodní části diplomové práce.

Abstract:

The topic of this diploma thesis is the transformation of companies carried out in the Czech Republic. The work deals with the essence of transformations and their accounting, both from a theoretical point of view according to Czech legislation, and procedures used in practice. The theoretical part is focused on the basic requirements of transformations resulting from Act No. 125/2008 Coll. and related accounting regulations. It discusses the legal, accounting and tax aspects of the transformation of companies, whether it is a merger, division, transfer of assets to a partner, change of legal form or cross-border transfer of registered office. Great emphasis is placed on the empirical part, which consists of collecting and analysing a set of transformation transactions in the Czech Republic. It is mainly information about the ownership structure, determination of the effective date, motives, equity value before and after the transaction, but also the creation of new accounting items on the basis of the conversion performed. The aim of the empirical part is to evaluate whether the results of the analysis are in accordance with the theoretical knowledge described in the introductory part of the thesis.
