Formation of an European Company

Abstract:

Diplomová práce ‚Vznik evropské společnosti' si klade za cíl popsat v základních obrysech proces zakládání evropské společnosti a upozornit na některá rizika a komplikace, jimž by v praxi mohl zakladatel čelit. Pro objasnění výkladových východisek je práce uvozena stručným exkursem do historie přijímání nařízení o statusu evropské společnosti jakožto hlavního pramene právní úpravy SE. Mimo to obsahuje první kapitola práce též část věnovanou právní úpravě relevantní pro české evropské společnosti a krátké pojednání o výhodách této formy obchodní společnosti. Kapitola druhá je celá věnována popisu postupů, jimiž je možno SE založit, a institutů, jež jsou těmto postupům společné. V kapitole třetí pak autor uvádí doporučení, o nichž se domnívá, že by zájemcům o založení sledované formy podnikání mohla usnadnit přístup k evropské společnosti. Dále je obsahem třetí kapitoly náhled na některé výkladové problémy související s probíraným tématem. V závěru autor stručnou a přehlednou formou sděluje dosažené poznatky.

Abstract:

As the author states in part 0.1 'Cíle práce' of the diploma thesis ‘Vznik evropské společnosti' (Formation of an European Company), the aim of the thesis lies in providing a quick and reliable source of basic information relating to the subject accompanied by a more-profound analysis of problems and interpretational issues possible to occur in the process of formation of aforesaid company. To be able to indulge in qualified discussion of said phenomena the author first provides a short excursion in the history of the regulation EC No 2157/2001 on the statute for a European Company. Furthermore the author includes a brief description of legal acts relevant to the SE. In the last part of the first chapter a quick insight in the reasons for forming a European Company is given. The second chapter covers all the different ways of forming a SE with several articles devoted to procedures common to all those ways. According to the aim of the thesis and the fact that its extent is strictly limited the basic facts are mentioned only briefly and more emphasis is given on several outstanding interpretational problems, which are contemplated more thoroughly with possible solutions to them mentioned. In the third chapter the author offers ways to ease the access to the form of the SE to a broad array of European entrepreneurs. As well as this several sentences are devoted to some problematic issues in the legal documents regulating the SE. The conclusion to the thesis sums the provided knowledge in a brief and convenient manner.
