Status of the trustee in the insolvency proceedings

Abstract:

Na předešlých stranách diplomant přibližuje problematiku postavení insolvenčního správce v insolvenčním řízení, jeho smysl, úkoly a funkce, tak jak vyplývají z platných předpisů. Při svém výkladu vyjadřuje názor na řadu v literatuře i judikatuře sporných ustanovení, ke kterým se vyjadřuje a přispívá tak k pluralitě názorů odborné i širší veřejnosti. Diplomová práce je strukturována do desíti kapitol. V úvodní kapitole jsou představeny cíle pojednání, základní pojmy a motivace diplomanta k výběru tématu. V další pak uvádí historický vývoj insolvenčního řízení se zaměřením na osobu správce u nás i v zahraničí. Třetí kapitola pojednává o ekonomické podstatě moderního insolvenčního řízení, přičemž objasňuje úlohu insolvenčních správců v něm působících. Autor se zde věnuje též povinnostem, kvalifikačním předpokladům i úloze insolvenčních správců v jednotlivých způsobech řešení úpadku. Další kapitola představuje jednotlivé druhy insolvenčních správců, vyplývající z insolvenčního zákona a zákona o insolvenčních správcích, způsob vedení evidence těchto subjektů a jejich odměňování. V pořadí pátá kapitola se pak zaměřuje na změny dotýkající se institutu insolvenčních správců, vyvolané účinností insolvenčního zákona ve vztahu k zákonu o konkurzu a vyrovnání. V šesté kapitole autor rozebírá téma zahraničních insolvenčních správců a dopady evropské legislativy na výkon jejich funkce v různých právních prostředích. Následující část nabízí náhled do právní úpravy insolvence a insolvenčních správců v USA, která je považována za první moderní právní úpravu řešení úpadku vůbec. Na úvod tohoto exkurzu nejprve diplomant objasňuje úskalí komparace a srovnávání obecně. Osmá kapitola je věnována civilněprávní i trestněprávní odpovědnosti insolvenčních správců při výkonu funkce, jejich kontrole a obligatornímu pojištění. Defekty předchozího zákona jsou pak demonstrovány na konkrétních příkladech pochybení insolvenčních správců v minulosti. Předposlední část představuje vize autora práce ohledně případné novelizace stávajícího zákona, které by považoval za přínosné. V závěrečné desáté kapitole je pak uvedeno celkové zhodnocení právní úpravy a víra diplomanta v příznivý budoucí vývoj institutu insolvenčního správce v ČR.

Abstract:

The dissertation familiarises the reader with the topic of the role of the trustee in Czech insolvency proceeding, its meaning, tasks, and functions under the valid law. The author expresses his opinion on complex regulations and contributes to the numerous current opinions of expert and non-expert communities. The thesis comprises of ten chapters. The first chapter discusses basic notions and motivation of the author for choosing the topic. The second chapter then introduces historical development of insolvency proceedings with focus on the trustee in the Czech Republic and abroad. The third chapter outlines economic background in current modern insolvency proceeding, while explaining the role of the participating trustee. Furthermore, the third chapter presents the duties, qualification recommendations, and roles of the trustee in the different bankruptcy solutions. The next, fourth, chapter illustrates particular kinds of trustees under the Czech law, the approach towards keeping trustee records and trustee remuneration. The fifth chapter of the thesis features status changes of trustee role according to the current insolvency law with respect to former regulations. The author´s attention in the sixth chapter is focused on the European legislation regarding cross-border insolvency, authority and responsibility of trustees acting abroad. The seventh section focuses on the conception of insolvency proceeding and trustees in the USA as the origin of the modern insolvency law; at the start of the chapter, the author presents an introduction of the method of comparison in this chapter. The eighth section is dedicated to civil and criminal liability, the oversight of the trustees and, last but not least, the obligatory insurance; defects of the former regulations are hereinafter illustrated by real-world examples of misusing trustees´ authority occurring in the past. The ninth chapter presents the author?s visions towards improving the contemporary legislation. The closing, tenth, chapter summarizes the quality of the legislation and expresses belief in the positive progress of the insolvency proceedings and the nature of the trustee in the future.
