Předmětem zájmu této práce jsou následky vad těch usnesení nejvyššího orgánu obchodní korporace, která mají vazbu na smlouvu o výkonu funkce. Jsou jimi usnesení o schválení smlouvy o výkonu funkce, usnesení o volbě člena orgánu a usnesení o odvolání člena orgánu. The subject matter of the thesis are the consequences of the defects of general meeting resolutions that are related to managerial contracts. They include a resolution on the approval of a managerial contract, a resolution on the election of a body member and a resolution on the removal from office of body member.
