Corporate Governance

Abstract:

Cílem této diplomové práce je analyzovat současný stav Corporate Governance v Dopravním podniku města Brna, a.s. Teoretické část práce se bude zahrnovat následující oblasti, vymezení obsahu pojmu správa a řízení společnosti, včetně jeho historického i současného vývoje, představení základních modelů Corporate Governance a kodexů, které se jimi zabývají, a teoretické základy akciových společností a finanční analýzy podniku. Praktická část začne krátkým představením zkoumaného podniku a jeho organizační struktury. Poté zpracuji finanční analýzu a zhodnocení Corporate Governance v podniku. Výsledné závěry zhodnotím a případně navrhnu možné řešení zlepšení situace.

Abstract:

The aim of this thesis is to analyze current status of Corporate Governance in joint stock company Transport Company in the city of Brno. Theoretical part of thesis will cover following areas, definition of concept of Corporate Governance, including historical and present development, presentation of basic models of Corporate Governance, presentation of codes of corporate governance and theoretical basis of financial analysis. The practical part of thesis will begin with brief introduction of the company and its organizational structure. Then I will do financial analysis and evaluation of Corporate Governance in company. The resulting conclusions will be evaluated and possibly will be suggested possible solutions to improve the situation.
