The primary issues market in the Czech Republic

Abstract:

Předmětem mé diplomové práce „Trh primárních emisí v České republice“ je analýza stavu primárního akciového trhu v České republice. Po uvedení možností financování akciové společnosti z interních a externích zdrojů jsem se v teoretické části věnoval definici, úloze, výhodám a nevýhodám primárních emisí, předpokladům pro její úspěšnou realizaci, postupům při jejich přípravě, nákladům IPO a jejich samotnému průběhu, významným faktorům a fázím primárního úpisu. Do teoretické části jsem zahrnul i popis vývoje a současného stavu českého práva týkajícího se dané problematiky. V praktické části jsem nejprve porovnal jednotlivé způsoby financování a motivace účastníků v procesu primárního úpisu, dále jsem se věnoval důležitým a zajímavým aspektům spojeným s emisemi, podhodnocením emisních kurzů, nadprůměrnými výnosy plynoucími z IPO, jejich náklady a výkonností emisí na sekundárním trhu. Následně jsem na základě historického vývoje a příčin současné situace definoval problémy při uvedení nových emisí na trh v České republice, uvedl konkrétní důvody a návrhy pro zlepšení podmínek. Diplomovou práci jsem uzavřel praktickou případovou studií IPO Zentiva N.V. obsahující mj. zhodnocení úspěšného průběhu emise, porovnání s dalšími emisemi uskutečněnými v České republice a nastínění významu této průkopnické emise pro český kapitálový trh.

Abstract:

My dissertation, entitled “The primary issues market in the Czech Republic”, takes the form of an analysis of the state of the primary equity market in the Czech Republic. After introducing the possibility of financing a joint-stock company from internal and external sources, in the theoretical section I concentrate on the definition, role, advantages and disadvantages of primary issues, the prerequisites for their successful realisation, the procedures to be followed during their preparation, the costs of an IPO and its actual course, and the important factors and phases of a primary subscription. I include in the theoretical section a description of the development and current state of Czech law as it relates to this topic. In the practical section I first compare the individual methods of financing and the motivation of participants in the process of a primary subscription, and then examine important and interesting aspects linked with issues, the undervaluation of issue quotations, the above-average revenues flowing from an IPO, its costs, and the performance of issues on the secondary market. Subsequently, on the basis of the historical development and causes of the current situation, I define the problems involved in the introduction of new issues onto the market in the Czech Republic, give concrete reasons for these problems, and make proposals for improving conditions. I complete my dissertation with a case study involving the IPO of Zentiva N.V. containing, inter alia, an evaluation of the successful course of the issue, a comparison with other issues carried out in the Czech Republic, and an outline of the significance of this trail-blazing issue for the Czech capital market.
