The constitution process of Limited Liability Company in practice

Abstract:

Proces založení a vzniku společnosti s ručením omezeným je relativně komplexní a neobejde se bez součinnosti notáře. Advokát má v procesu zakládání společnosti sručením omezeným pouze takovou roli, jakou mu zakladatelé společnosti přidělí. Je na vůli zakladatelů, zdali se obrátí na advokáta o právní pomoc se sepisem zakladatelského právního jednání či obstarání listin potřebných pro zápis společnosti do obchodního rejstříku. To však nese vyšší finanční i časové náklady. Změna, kterou přinesla novela zákona o obchodních korporacích s účinností od 1.1.2021, a to možnost splatit vklad i jiným způsobem, nepřesáhne- li výše všech peněžitých vkladů v souhrnu 20 000 Kč, je žádoucí změnou a přinesla řadu výhod. Zjevnými výhodami z toho plynoucími je zejména ušetření času a finančních prostředků zakladatelů a zjednodušení procesu zakládání společnosti s ručením omezeným. Možné nevýhody z toho plynoucí se mohou ukázat v průběhu dalších let, neboť novela je relativně nová.

Abstract:

The constitution of limited liability company is relatively complex and cannot be done without the cooperation of a notary. In the procees of the company formation a limited liability company, the lawyer has only the role assigned to him by the company`s founders. It is up to the founders whether to turn to a lawyer for legal assistance with a draf of the founding legal proceedings or to obtain the documents necessary for the registration of the company in the business register. The change introduced by the amendment to the business corporations act with effect from 1 January 2021, namely the possibility to repay the deposit in another way, if the amount of all cash deposits does not exceed a total of 20 000 CZK, is a desirable change and brought a number of benefits. The obvious benefits resulting from this are, in particular, saving founders time and money and simplifying the process of setting up a limited liability company. The possible disadvantages of this may become apparent in the coming years, as the amendment is relatively new.
