Analysis of the process of cross-border mergers

Abstract:

The aim of this diploma tesis, Analysis of Cros-border Merger Processes, is to analyze the process of a cross-border merger according to the Czech accountig legislation. The theoretical part focuses on defining the terminology, explaining the legal framework used for cross-border mergers, and describing the usual accounting methods according to the Cech accounting legislation, that are also compared to methods in international accounting legistation. In the practical part we describe a concrete case of a cross-border merger between a Czech and a Slovak business entity. The aim of the teoretical and the practical part is the identification of the problematic parts of the process in terms of accounting and proposal of concrete solutions.

Abstract:

Predmetom tejto diplomové práce Analýza procesu přeshraničních fúzí je rozbor procesu cezhraničnej fúzie podľa českej účtovnej legislatívy. Teoretická časť je zameraná na definíciu pojmov, vysvetlenie právneho rámca, v ktorom sa cezhraničné fúzie odohrávajú, a na opis používaných účtovných metód podľa českej účtovnej legislatívy, ktoré sú tiež porovnávané s medzinárodnými účtovnými predpismi. V praktickej časti je opísaný konkrétny prípad cezhraničnej fúzie medzi českou a slovenskou obchodnou spoločnosťou. Cieľom teoretickej a praktickej časti je identifikácia problémových miest v oblasti účtovníctva a návrh konkrétnych riešení.
