Loan Agreement

Abstract:

The main aim of my bachelor work is to create an overview of legal as well as economic institution of a loan agreement, from the legal scope of commercial banks in Slovakia, legal regulations related to the loan, explanation of loan relationships of a creditor and a debtor from the point of view of the Commercial Code to the terms of the loan agreement, not to mention security institutions from the Civil and the Commercial Code. The root of the loan is not only in providing financial settlement but it is in the time difference between providing of the settlement and the consideration. A lot of attention is paid to this time difference in the loan agreement as after providing the debtor with the loan by the creditor the loan starts to be paid until the time of its total settlement, otherwise it is the time for security institutions, though the agreements from these institutions are signed by the both contractual parties before the loan is provided. Despite the fact that the loan agreement is a very old institution and its legal bases were established in the Roman law, later the market economics at the beginning of capitalism, it was not included in the system of law of the Slovak republic. Probably for this reason this institution is not complexly regulated in one law. The issue of the loan agreement is very wide and it is integrated into more legal areas, it is not regulated by only the Civil and Commercial Code but also by the financial law. The loan agreement is the most frequented institution in banking and therefore it is put to use in praxis a lot. However in the system of law of the Slovak republic are missing the terms that in my opinion should be integrated in the law, specifically in the Civil Code that deals with the institution of lien as one of the most essential securities of the loan agreement. The point of my work is to go over all legal measurements related to this institution, all legal areas covering this institution, comparison with the praxis and maybe to highlight possible weak points of the regulations in use.

Abstract:

Hlavným cieľom mojej bakalárskej práce je vytvoriť prierez právneho aj ekonomického inštitútu zmluvy o úvere, od právneho rámca komerčných bánk na Slovensku, cez právne predpisy súvisiace s úverom ako takým,vysvetlenie úverových vzťahov veriteľa a dlžníka z pohľadu Obchodného zákonníka, náležitostí úverovej zmluvy a v neposlednom rade zabezpečovacie inštitúty z Občianskeho aj Obchodného zákonníka. Podstata úveru je nielen v poskytnutí peňažného plnenia, podstata úveru je v časovom rozlíšení medzi poskytnutím plnenia a protiplnenia. V tomto časovom úseku je zmluve venovaná najväčšia pozornosť, nakoľko po poskytnutí úveru dlžníkovi veriteľom sa úver spravidla začne splácať až do doby úplného splatenia, alebo v opačnom prípade nastupujú zabezpečovacie inštitúty, avšak zmluvy z týchto inštitútov sú podpísané oboma zmluvnými stranami už pred poskytnutím úveru. Napriek skutočnosti, že zmluva o úvere je veľmi starý inštitút a jeho právne základy položili už v Rímskom práve, neskôr trhová ekonomika v začiatku kapitalizmu, v právnom poriadku Slovenskej republiky nebola však zakomponovaná. Možno z uvedeného dôvodu nie je tento inštitút komplexne upravený v jednom práve. Problematika zmluvy o úvere je veľmi široká a prelína sa do viacerých oblastí práva, nie je upravená len v obchodnom a občianskom práve, ale napríklad aj vo finančnom práve. Úverová zmluva je najfrekventovanejší inštitút v bankovníctve a je jej preto venovaná patričná pozornosť v praxi. Avšak v právnom poriadku Slovenskej republiky absentujú náležitosti, ktoré by podľa môjho názoru mali byť zakomponované v zákone a to najmä v Občianskom zákonníku, ktorý rieši inštitút záložného práva, ako jedného z najpodstatnejších zabezpečení pri zmluve o úvere. Významom už výberu témy mojej práce, ako aj jej spracovaním, bolo prejsť si všetky zákonné prostriedky, ktoré sa tohto inštitútu týkajú, všetky oblasti práva, do ktorých tento inštitút zasahuje, porovnanie s praxou a prípadne poukázať na slabšie miesta v existujúcich zákonoch.
