Abstract:

Předkládám čtenáři bakalářskou práci na téma právní úprava likvidace obchodní společnosti. Práce se zabývá právní úpravou zániku obchodních společností, zejména jejich zrušením a likvidací. Cílem práce je rozebrat jednotlivá ustanovení, vysvětlit nejasnosti ve výkladu a popsat proces likvidace. Přestože je právní úprava likvidace pokládána odbornou veřejností za zdařilou, mám za to, že její výklad ve vztahu k obchodním společnostem je složitý a v některých částech problematický. Především se zaměřuji na problematiku subsidiárního použití občanského zákoníku ve vztahu k zákonu o obchodních korporacích, jakožto zvláštní právní úpravy. Také je napříč celou právní úpravou zákonodárci ponechán prostor pro odchýlení se od právní úpravy pravidly, které si společnost sama určí v jejím zakladatelském právním jednání, jako příklad uvedu zrušení společnosti, jmenování likvidátora, rozdělení likvidačního zůstatku, schvalování dokumentů a další. Práce tento problém vyřešila systematickým popisem návaznosti zvláštní právní úpravy na tu obecnou a také vytvořením rozsahu, do kterého se dá zakladatelským právním jednáním odchýlit od obecných pravidel. U nejasností ve výkladu jsou ustanovení rozebrány, tak aby čtenář pochopil jejich možný výklad a jeho dopady.

Abstract:

I am submitting to a reader a bachelor's thesis on the topic of legal regulation of the liquidation of a company. The thesis deals with the legal regulation of the last phase of existence of companies, especially their dissolution and liquidation. The aim of the work is to analyze each legal regulation, explain the ambiguities in the interpretation and describe the liquidation process. Although the legal regulation is considered successful by the professional public, i considere that its interpretation in relation to companies is hard to understand and in some parts problematic. Above all, I focus on the issue of subsidiary application of the Civil Code in relation to the law on business corporations, as a special legal regulation. Also, throughout the legislation, the legislator left room to deviate from the legislation by rules that the company determines in its founding legal document, such as the dissolution of the company, the appointment of a liquidator, distribution of liquidation balance, approval of documents and more. The work solved this problem by a systematic description of the connection of the special legal regulation to the general one and by creating the extent to which the founding legal proceedings can deviate from the general rules. In case of ambiguity in the interpretation, the provisions are analyzed so that the reader understands their possible interpretation and its implications.
