Circumstances excluding Liability and Limitation of Damages under the UN Convention on Contracts for the International Sale of Goods

Abstract:

V práci nazvané "Okolnosti vylučující odpovědnost a limitace náhrady škody dle Úmluvy OSN o smlouvách a o mezinárodní koupi zboží" se autorka zabývala analýzou okolností vylučujících odpovědnost a limitací náhrady škody dle Vídeňské úmluvy. Konkrétně autorka posuzovala možnosti smluvního ošetření výše náhrady škody pro konkrétní případy prostřednictvím smluvních doložek aplikovatelných na základě zásady autonomie vůle stran zakotvené v čl. 6 Vídeňské úmluvy. Spolu se smluvní úpravou výše náhrady škody, se autorka zabývala i existencí jistých "limitačních mechanismů" stanovených přímo v rámci Vídeňské úmluvy. Práce je koncipována do čtyř částí. První část práce obsahuje objasnění pojmů za účelem komplexní analýzy okolností vylučjících odpovědnost a limitace náhrady škody. Ve druhé části je provedena analýza okolností vylučujíích odpovědnost a hardship ve vztahu k zásadě autonomie vůle stran a v návaznosti na pokračování smluvního vztahu. Závěr této části obsahuje komparaci vyšší moci a hardship. Ve třetí části práce je provedena analýza platnosti doložky limitace náhrady škody ve vazbě na právní řád České republiky. Čtvrtá, závěrečná část, obsahuje závěrečné shrnutí pravdivosti v úvodu stanovených hypotéz a cílů. Objasnění hypotézy se autorka snažila dosáhnout prostřednictvím dostupné literatury a judikatury.

Abstract:

In diploma thesis called "Circumstances excluding Liability and Limitation of Damages under the UN Convention on Contracts for the International Sale of Goods" the author dealt with the analysis of circumstances excluding liability and the limitation of damages under the CISG. Concretely, author assessed the possibilities of contractual arrangements of amount of damages for specific cases by clauses which are applicable on the basis of the principle of autonomy of will stated in Art. 6 of the CISG. Along with the contactual arrangement of amount of the damages, the author dealt with the existence of certain "limitation mechanisms" stated direct in the CISG. The work is divided to four parts.The first part includes a clarification of terms which are essential for comprehesive analysis of circumstances excluding liability and the limitation of damages. In the second part, there is contained the analysis of the circumstances excluding liability and hardship in relation to the principle of autonomy in connection with the continuance of contactual relationship. The conclusion of this part is constitued by comparison of force majeure and hardship. In the third part, I dealt with the question of validity of the limitation clause in continuity with the law order of the Czech republic. The last part of this work contains the final summary of aims an hypothesis stated in the introduction. The author disposed the available literature and judicial decisions to clarify the hypothesis of this work.
