The classification of securities with an emphasis on the changes of the new Civil Code

Abstract:

Tato bakalářská práce se věnuje definici a klasifikaci cenných papírů tak, jak je chápána v České republice. Autorka se snaží zachytit současný a nedávný stav a přístup k tvorbě definice a ke klasifikaci široké množiny cenných papírů. Analýzu vede zmapováním, komparací, rešerší a syntézou jednotlivých přístupů. Těmi jsou přístupy teoretiků, respektive významných autorů odborných publikací. Dále pak zákonné normy, s důrazem na změny, které přinesla novela občanského zákoníku s účinností od počátku roku 2014. Autorka si klade otázku, zda zavedením paragrafů v novele občanské zákoníku dochází k určitému napravení situace, která spočívá v nejednotnosti přístupu k definici, či klasifikaci jednotlivých druhů cenných papírů v současnosti nadále platných a nedávno pozbytých platnosti zákonných normách.

Abstract:

This thesis deals with the definition and classification of securities how there is understood in the Czech Republic. The author tries to describe the current and recent situation and creative approach to the definition and classification of wide group of securities. Analysis is led by mapping, comparison, retrieval and synthesis of different approaches. These approaches are attitudes of theorists, respectively prominent authors of technical publications. Furthermore legal standards with an accent on the changes which amendment of the Civil Code has brought with effect from the beginning of 2014. The author wonders whether the implementation of sections in the amendment Civil Code will come about certain improvement of situation, which consists in fragmentation approach to definition or classification of various kind of securities currently still effective legal norms and legal norms which recently has lost of legal force.
