Qualified Investor Funds in the Act Nr. 189/2004, on Collective Investment

Abstract:

Téma diplomové práce jsou fondy kvalifikovaných investorů, které jsou regulovány zákonem č. 189/2004 Sb., o kolektivním investování, ve znění pozdějších změn. Jedná se o specifický druh fondů, který není upraven směrnicí 85/611/ES, určený pro úzkou skupinu investorů.Cílem práce je analyzovat právní úpravu fondů kvalifikovaných investorů v České republice. První kapitola obsahuje úvod do tématu. Druhá kapitola je zaměřena na teoretický popis kolektivního investování a jeho principy. Je zde definován pojem kolektivního investování, jeho výhody a nevýhody a charakterizovány subjekty kolektivního investování a jejich rozdělení. V třetí kapitole je popsán vývoj kolektivního investování v České republice po roce 1989. Dále shrnuji právní úpravu dle směrnice č. 85/611/ES.Zbývající část kapitoly je zaměřena na obecnou problematiku fondů v souladu se zákonem 189/2004 Sb. Je zde popsán hlavní principy investování v České republice po roce 2004 a definovány pojmy investiční společnost, podílový fond a investiční fond Vysvětluje se, jak jsou tyto subjekty regulovány a shrnuty rozdíly mezi nimi. V závěru práce jsou rozebrány analyzuje vybrané fondy pro veřejnost, známé jako UCITS fondy, protože jejich struktura a investiční politika odpovídá právu Evropského společenství a tzv. non- UCITS fondy určené pro veřejnost. Pátá kapitola zahrnuje popis fondů kvalifikovaných investorů. Historii, současnost a budoucnost těchto fondů v souladu s připravovanou novelou zákona č. 189/2004 Sb. a rozdíly mezi fondy kvalifikovaných investorů a fondy pro veřejnost. Hlavní rozdíl spočívá v nižší míře regulace.Fondy kvalifikovaných investorů mohou investovat, do jakéhokoli aktiva, ale mají jasně přesně stanovené limity pro investování do tohoto druhu fondů v osobě investora a minimální vstupní investice.Závěrečná kapitola se obsahuje informace o daních investičních a podílových fondů v České republice.

Abstract:

The topic of the master thesis are the funds of qualified investors which are regulated according to the Act No. 189/2004 Coll., on collective investment schemes, as amended. It is a specific type of non – UCITS fund designed for for small part of investors. The aim of this work is to analyze legislation of funds of qualified investors in the Czech Republic. The first part is introduction to the work. The second chapter concentrated on teoretical description of collective investing and its principles. It defines notion of collective investment as one type of property appreciation which is based on the principle of poling funds from a certain group of people. Then, defines its advantages and disadvantages and characterizes subjects of collective investment and their structuring. The third chapter describes the development of collective investment in the Czech Republic after 1989. At the begining of next chapter I summarize regulation of European Union according to directive Nr. 85/611/EEC. The rest of chapter is about general problematic of funds in compliance with the Act No. 189/2004 Coll. It tries to outline main principles of investing in Czech republic after 2004 and defines notion of management company, mutual fund and investment company (in Czech law known as investment fund). It explains how are these subjects regulated and summarises differences of them. For all institutes it outlines their legal framework and regulation. At the end of chapter it analyzes selected funds for public investors, which are known as UCITS funds, because their structure and investment politics subject to law of the European Community and non – UCITS funds for public investors. The fifth part contains description of funds for qualified investors. There are details of regulation of these type of fund, the history, present and future of funds of qualified investors in accordance with an amendment of No. 189/2004 Coll. and the differences between funds of qualified investors and funds for public investors. The main difference is in a lesser regulation than funds for public investors. Funds of qualified investors can invest in whatever they want but there are strict limits for investing into this fund in a person of investor and in limit of minimal investing amount per investor. The limit of minimal investing amount is at 1 000 000 czk per investor. Last chapter contains some information about a tax rate for investment funds and mutual funds in the Czech Republic.
