Goodwill and differences in valuation in an enterperise purchase accounting

Abstract:

Předmětem této bakalářské práce je problematika goodwillu a oceňovacího rozdílu a s tím spojených otázek vztahujících se k oceňování podniku a vzniklých rozdílů při jednání a následném účtování při koupi podniku. První část se věnuje oblasti teoretického vymezení pojmu goodwill, objasnění významu tohoto slova a jeho vzniku nejen z pohledu účetního, ale i pohledu vlivů na jejich hodnoty v průběhu života podnikatelského subjektu a jeho managementu. Dále se v práci zabývám způsoby a metodami ocenění podniku, právní podstatou koupě podniku a účetního vyjádření goodwillu i oceňovacího rozdílu tedy vším co souvisí s vznikem faktické hodnoty goodwillu a oceňovacího rozdílu. Aplikační část mapuje konkrétní případ koupě podniku Aircraft Industries a.s. se sídlem v Kunovicích a promítnutí vzniklého goodwillu a oceňovacího rozdílu do výsledovky a rozvahy.

Abstract:

The purpose of this thesis is the issue of goodwill and the valuation difference and associated issues relating to the valuation of the firm and of the differences in negotiation and the subsequent accounting for the purchase of a business. The first part deals with the field theoretical definition of goodwill, to clarify the meaning of the word and its occurrence not only in terms of accounting, but also the perspective of impact on their value during the life of enterprise and its management. Further work dealing with ways and methods of valuation of the enterprise, the essence of the legal purchase of a business and financial terms of goodwill and valuation difference, therefore, all what is related to the emergence of a de facto value of goodwill and valuation difference. Application of mapping the specific case of the purchase undertaking Aircraft Industries as located in a projection Kunovice generated goodwill and valuation difference in the income statement and balance sheet.
