Termination of Obligations by Set-off in Commercial Relationships

Abstract:

Započtení směřuje k zániku minimálně dvou vzájemných pohledávek věřitelů prostým zúčtováním, za současného uspokojení stran. Kompenzace je tak účinným nástrojem, který v obchodní realitě usnadňuje plnění vzájemných pohledávek, a to i proti vůli druhé strany. Jedná se o institut, který je zevrubně studován, a přesto v sobě obsahuje řadu nejasností, které jsou teoreticky značně složité. Práce zkoumá limity započtení, tedy sporné otázky, které mohou narušovat funkční potenciál zkoumaného institutu. První dva zkoumané limity nastoupily současně s novým občanským zákoníkem, který, i když vychází zejména ze staré úpravy, tak zavedl i novinky, které jsou problematické. Zavedením termínů nejistých a neurčitých pohledávek, bez řádného vysvětlení pojmů, zákonodárce zavedl mezi stranami určitou nejistotu o správné interpretaci termínu. Kompenzační jednání se zakazuje činit pod podmínkou či doložením času. Otázkou je, zda takový zákaz není příliš limitující. Posledním zkoumaným limitem je započtení jako uznání dluhu. V tomto případě problém nevzešel z úpravy nového soukromoprávního kodexu, ale z judikatury Nejvyššího soudu.

Abstract:

Setting-off leads to the extinction of at least two mutual claims of creditors by clearing, while satisfying the parties. Compensation is thus an effective tool that facilitates the settlement of mutual claims in commercial reality, even against the will of the other party. It is an institute that is thoroughly studied and still contains a number of uncertainties that are theoretically quite complex. The thesis examines the limits of set-off, ie. controversial questions that may interfere with the functional potential of the institute under examination. The first two limits have been taken up at the same time as the new Civil Code, which, although based in particular on the old regulation, has also introduced new issues that are problematic. By introducing the terms of uncertain and indefinite debts, without proper explanation of the terms, the legislator introduced some uncertainty between the parties about the correct interpretation of the term. It is forbidden to make declaration of compensation under the condition or time clause. The question is whether such a ban is not too restrictive. The last limit examined is Set-off as debt recognition. In this case, the problem did not stem from the amendment of the new private law code, but from the case law of the Supreme Court.
