Bank guarantee as a security instrument

Abstract:

Rigorózní práce je zaměřena na problematiku zajišťovacího instrumentu bankovní záruky, jak z teoretického, tak praktického pohledu. Úvodní kapitola analyzuje specifické rysy tohoto zajišťovacího instrumentu, včetně rozboru právní konstrukce bankovní záruky, funkcí bankovní záruky a též i komparace s podobnými právními instituty. Hlavní kapitola obsahuje komparativní rozbor české právní úpravy, zastoupené zákonem č. 513/1991 Sb., obchodní zákoník, ve znění pozdějších předpisů a zákonem č. 89/2012 Sb., občanský zákoník, a pravidel Mezinárodní obchodní komory v Paříži URDG 758. Navazující kapitola řeší výjimku ze zakotvených zásad bankovní záruky, tzv. evidentní podvod a opatření, kterými lze tomuto jevu předcházet a jeho důsledky minimalizovat. Návrhy de lege ferenda české právní úpravy si kladou za cíl implementovat v práci zjištěné závěry.

Abstract:

The rigorous thesis is focused on the issue of a security instrument of a bank guarantee, both from a theoretical and practical perspective. Opening chapter analyzes the specific features of this security instrument, including an analysis of the legal structure of a bank guarantee, functions of a bank guarantee and also includes a comparison with similar legal institutes. The main chapter deals with a comparative analysis of the Czech legislation, represented by the Act No. 513/1991 Coll., The Commercial Code, as amended, and by the Act No. 89/2012 Coll., The Civil Code, and the URDG 758 issued by the International Chamber of Commerce in Paris. The next chapter discusses the exception to the essential principles of a bank guarantee, so called an established fraud and measures which can prevent this phenomenon and minimize its consequences. De lege ferenda proposals of Czech legislation aim to implement the findings of this rigorous thesis.
