Company Evaluation on basis free cash flow

Abstract:

Cílem této diplomové práce je stanovení hodnoty podniku Otín Green Power ke dni 31. 12. 2012 za účelem jeho potenciálního prodeje. Jehož jediným podnikatelským záměrem je výstavba a provoz fotovoltaické elektrárny. Práce se skládá z teoretické části, jejíž obsahem je vymezení základních pojmů a postupů oceňování. Představuje oceňování podniku jako disciplínu, která vychází z poznatků ekonomické teorie, a je postavena na teoretických a praktických znalostech podnikových financí a oceňovacích standardech. V práci nechybí ani základní principy, na kterých jsou metody postaveny, včetně procesu samotného oceňování podniku. Nedílnou součástí práce je strategická i finanční analýza, analýza a prognóza generátorů hodnoty a samotná tvorba finančního plánu. Aplikace získaných pojmů a postupů oceňování na konkrétní podnik, představuje praktickou část práce. Po stručném představení společnosti následuje strategická analýza, která vyhodnocuje nejvýznamnější příležitosti a hrozby pro budoucnost společnosti a s ní spjatého druhu podnikání. Spolu se zhodnocením dosáhnutých výsledků společnosti za léta minulá představuje tato analýza výchozí bod pro sestavení finančního plánu a samotného výpočtu ocenění podniku metodou diskontovaných peněžních toků. Závěr shrnuje výsledky diplomové práce, odpovídá na stanovené cíle a hypotézy, z nichž hlavní je porovnání tržní hodnoty podniku s hodnotou investiční. Shrnuje poznatky o disciplíně oceňování podniku z osobního pohledu autorky, s nimiž se při tvorbě práce setkala.

Abstract:

The objective of this thesis is to determinate the sales value of Otín Green Power company, as of day 31st of December 2012 with the of purpose it´s potential future sale. The only business goal of this company has been developing and an operation of a photovoltaic power station. The thesis consists of a theoretical part that involves a definition of basic concepts and valuation methods. This part presents company’s valuation as a discipline based on theoretical and practical facts of company’s corporate finances and valuation standards. In addition, there are basic principles on which the methods are based including company’s valuation process itself. Linked with this topic there are strategic and financial analysis and prognosis, and the actual creating of a financial plan. An application of obtained concepts and valuation procedures on the particular company, forms a practical part. Brief company introduction is followed by a strategic analysis evaluating the most important opportunities and threats for the company’s future and for this kind such as of business. Together with the company’s results evaluation achieved over the past years, this analysis represents a starting point for creating a financial plan and the actual calculation of company´s valuation by the discounted cash flow. The conclusion summarizes the thesis results, answers targets and hypothesis, there most important of which is the comparisons of the company’s sales values with the investment value. In addition, it summarizes the gathered knowledge of the company validation discipline from an author’s personal point of view, which she gathered during the thesis preparation.
