Evaluation of the company Metrostav a.s. for the purposes a potential investor

Abstract:

Účelem oceňování podniku je stanovení jeho hodnoty a to zejména při koupi a prodeji podniku, fúzi, rozdělení společností, změna právní formy nebo sanace. Hlavním cílem této diplomové práce je provést ocenění podniku Metrostav a.s. k 1.3.2008. Předmět činnosti této společnosti je stavební výroba a poskytování služeb ve stavebnictví a stavitelství, které patří k odvětvím s cyklickým vývojem, což znamená, že jeho vývoj kopíruje vývoj hospodářských cyklů. Práce je rozdělena na část teoretickou a praktickou. Teoreticko-metodologická část je zaměřena na vysvětlení postupu a cílů oceňování podniku. Jsou zde popsány jednotlivé metody oceňování, pomocí kterých lze určit celkovou hodnotu společnosti. Vysvětlena je také podstata finanční analýzy a finanční plán, který je neodmyslitelnou součástí ocenění podniku. Praktická část obsahuje nejprve charakteristiku podniku. Dále je provedena mikroanalýza a makroanalýza prostředí, ve kterém se podnik nachází. Jako součást strategické analýzy je zmíněna americká hypotéční krize a její možný vliv na stavební odvětví. Poté následuje finanční analýza pro období 2003–2006 a sestavení finančního plánu. Hlavní část praktické diplomové práce je věnovaná samostatnému ocenění podniku Metrostav a.s., kdy jsou aplikovány metody DCF a EVA. Závěr se zabývá porovnáním získaných výsledků jednotlivých metod a je provedena hypotéza o argumentech, které by mohly být diskutovány při cenovém jednání mezi potenciálním investorem a vlastníky podniku.

Abstract:

The main aim of the diploma thesis is to execute an evaluation of the company Metrostav a.s., as of 31th December 2006. The object of activity of this company is construction production and services in the building and construction industry, which are industries with the cyclic development, i.e. their development imitates the development of economic cycles. The thesis is divided into two parts, theoretical and practical. The theoretical-methodological part is focused on explaining the procedure and objectives of the company's evaluation. In this part of the thesis, individual methods of evaluation are described, by means of which the overall value of the company can be determined. It also includes explanations of the basis of the financial analysis and the financial plan, which is an inherent component of the company's evaluation. The practical part contains first of all the characteristics of the company. Further it includes a microanalysis and macroanalysis of the environment, in which the company is situated. As a part of the strategic analysis, the American mortgage crisis and its possible impact on the construction industry are mentioned. Subsequently, there is a financial analysis for the period of 2003–2006 and a draft of the financial plan. The main part of the practical diploma thesis is dedicated to an independent evaluation of the company Metrostav, while methods DCF and EVA are applied. The conclusion of the thesis deals with a comparison of the acquired results of the individual methods and with framing of a hypothesis about arguments that could be discussed in price negotiation between a potential investor and owners of the company.
